This Purchase Order is issued by Brussels Infrastructure & Engineering Consortium (BIEC) to formally request and authorize the engagement of a qualified Mechanical Engineer to provide specialized technical services for the design, analysis, and oversight of mechanical systems within the Brussels metropolitan infrastructure project. The Mechanical Engineer shall be based in Belgium Brussels and shall report directly to the Project Director at the BIEC headquarters located on Avenue Louise, Brussels.

The scope of work for the Mechanical Engineer includes, but is not limited to: the design and specification of HVAC (Heating, Ventilation, and Air Conditioning) systems for three new public buildings in the Brussels capital region; the structural integrity assessment of existing mechanical piping networks; the preparation of technical drawings and CAD models compliant with Belgian and European engineering standards; and the on-site supervision of mechanical installation works throughout the construction phase. All deliverables must adhere to the regulatory framework governing engineering practice in Belgium Brussels, including the requirements set forth by the Belgian Federal Service for Economic Affairs and the relevant Brussels-Capital Region building codes.

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms herein shall be governed by and interpreted in accordance with the laws of the Kingdom of Belgium, with the Brussels-Capital Region courts holding exclusive jurisdiction over any disputes arising from this engagement.

4.2 The Mechanical Engineer engaged under this Purchase Order must hold a valid Belgian professional engineering license (Ingenieur-Civil / Ingénieur Civil) and shall maintain professional liability insurance with a minimum coverage of €2,000,000 for the entire duration of the contract. Proof of licensure and insurance shall be provided to the Buyer prior to the commencement of work in Belgium Brussels.

4.3 Payment shall be made in monthly installments corresponding to the work completed and verified by the Buyer's Project Director. Invoices must reference this Purchase Order number (PO-BE-BRU-2025-04782) and shall be submitted to the BIEC accounts payable department. Payment is due within thirty (30) calendar days of receipt of a valid invoice, in accordance with Belgian commercial law (Code de commerce, Article 576).

4.4 The Supplier warrants that the Mechanical Engineer shall comply with all applicable health, safety, and environmental regulations in force in Belgium Brussels, including the Belgian Code of Economic Law and the Brussels-Capital Region environmental directives. Any non-compliance shall render the Supplier liable for corrective costs and potential penalties.

4.5 Intellectual property rights in all designs, drawings, calculations, and documentation produced by the Mechanical Engineer under this Purchase Order shall vest exclusively in the Buyer upon full payment. The Supplier shall not reuse, reproduce, or disclose such materials to any third party without prior written consent from BIEC.

4.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all work satisfactorily completed up to the date of termination, as verified by the Project Director.

4.7 Force majeure events, as defined under Belgian civil law (Code civil, Articles 1147–1150), shall excuse either party from performance obligations for the duration of the event, provided that written notice is given within five (5) business days of the occurrence.

By signing below, both parties acknowledge and accept all terms, conditions, and specifications set forth in this Purchase Order. The Buyer authorizes the Supplier to commence the engagement of the Mechanical Engineer in Belgium Brussels effective from the date of the last signature. This document, together with any attached annexes and technical specifications, forms the complete and exclusive agreement between the parties regarding the subject matter herein.
