The Mechanical Engineer engaged under this Purchase Order shall be responsible for the following deliverables:

• Complete mechanical design of HVAC (Heating, Ventilation, and Air Conditioning) systems for a 12-story commercial and administrative building in Brasília, DF.
• Thermal and structural analysis of piping networks, including steam, compressed air, and chilled water distribution systems.
• Preparation of detailed engineering drawings, technical specifications, and calculation reports compliant with ABNT (Associação Brasileira de Normas Técnicas) standards NBR 16401, NBR 15575, and NBR 6401.
• Coordination with civil, electrical, and architectural engineering teams to ensure integrated system compatibility within the Brasília project site.
• On-site technical supervision during the construction phase, with a minimum of 120 working days of presence at the Brasília project location.
• Submission of as-built documentation and final commissioning reports to the ENIE project management office in Brasília.

All prices are quoted in Brazilian Reais (BRL) and are inclusive of all professional fees, software licensing, and travel expenses within the Brasília metropolitan area. Any work performed outside the Federal District of Brasília shall be subject to a separate cost addendum approved by both parties.

Payment for the services described in this Purchase Order shall be made in accordance with the following schedule, all transfers to be executed via TED (Transferência Eletrônica Disponível) to the supplier's bank account in Brasília, DF:

• 30% advance payment (R$ 178,762.50) upon formal acceptance of this Purchase Order and signing of the service contract.
• 40% milestone payment (R$ 238,350.00) upon delivery and approval of all mechanical design documents, engineering drawings, and ABNT compliance reports.
• 30% final payment (R$ 178,762.50) upon completion of on-site supervision, submission of as-built documentation, and final commissioning sign-off at the Brasília project site.

Invoices must be issued in accordance with Brazilian federal tax regulations (Nota Fiscal de Serviço — NFS-e) and submitted to the ENIE Accounts Payable department in Brasília no later than five (5) business days prior to the scheduled payment date.

1. This Purchase Order is governed by the laws of the Federative Republic of Brazil, specifically the Civil Code (Código Civil, Lei nº 10.406/2002) and applicable Federal District (Distrito Federal) regulations.
2. The Mechanical Engineer engaged under this Purchase Order must hold a valid CREA (Conselho Regional de Engenharia e Agronomia) registration in the state of Brasília/DF and must maintain professional liability insurance with a minimum coverage of R$ 2,000,000.00 throughout the duration of the contract.
3. All deliverables must comply with the technical standards established by ABNT and the specific regulatory requirements of the Brasília municipal building code (Código de Obras do Distrito Federal).
4. The supplier warrants that all work performed by the Mechanical Engineer shall be original, free from intellectual property infringement, and shall meet the quality standards specified in the project brief issued by ENIE.
5. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, payment shall be made pro-rata for services rendered up to the termination date.
6. Disputes arising from this Purchase Order shall be resolved through arbitration in Brasília, DF, in accordance with the rules of the Câmara de Arbitragem do Centro de Arbitragem e Mediação da Câmara de Comércio Brasil-Canadá.
7. The supplier shall comply with all applicable Brazilian labor, environmental, and occupational health and safety regulations (NR-12, NR-18) during on-site activities in Brasília.

This Purchase Order is hereby authorized and approved by the undersigned representatives of both parties.
