The scope of work for this Mechanical Engineer engagement includes, but is not limited to: the development of detailed 3D CAD models for all mechanical assemblies; the preparation of technical drawings and fabrication specifications compliant with Brazilian ABNT standards (NBR 6491, NBR 6492, NBR 14727); the execution of finite element analysis (FEA) for stress and thermal evaluation of critical components; the supervision of on-site mechanical installation activities at the Rio de Janeiro facility; and the preparation of all technical documentation required for regulatory approval by the local authorities in the state of Rio de Janeiro.

1. Payment Terms: Payment shall be made in five (5) equal installments of R$ 102,704.00 each, due within fifteen (15) business days following the acceptance of each milestone deliverable. Payment shall be executed via bank transfer (TED/PIX) to the account designated by the vendor. All amounts are quoted in Brazilian Reais (BRL) and are subject to applicable taxes in the state of Rio de Janeiro.
2. Professional Qualification: The Mechanical Engineer assigned to this Purchase Order must maintain an active CREA-RJ registration throughout the entire duration of the contract. The vendor shall provide proof of registration and professional liability insurance (minimum coverage of R$ 2,000,000.00) prior to the commencement of any work.
3. Location of Services: All on-site activities, inspections, and supervisory duties related to this Purchase Order shall be performed at the project site located in the Portuária district, Rio de Janeiro, RJ, Brazil. The Mechanical Engineer shall comply with all local labor regulations, occupational safety standards (NR-12, NR-35), and municipal ordinances applicable in the city of Rio de Janeiro.
4. Intellectual Property: All designs, drawings, calculations, reports, and documentation produced by the Mechanical Engineer under this Purchase Order shall be the exclusive property of Engenharia & Tecnologia do Rio Ltda. The vendor grants a full and irrevocable assignment of all intellectual property rights upon final payment.
5. Confidentiality: The Mechanical Engineer and all personnel engaged under this Purchase Order shall maintain strict confidentiality regarding all technical data, proprietary information, and business strategies disclosed during the performance of services in Rio de Janeiro. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Warranty and Liability: The Mechanical Engineer warrants that all engineering services shall be performed in a professional, competent, and diligent manner in accordance with the best practices of the mechanical engineering profession in Brazil. The vendor shall be liable for any defects, errors, or omissions in the engineering deliverables for a period of twenty-four (24) months from the date of final acceptance.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all work completed and accepted up to the date of termination, plus reasonable demobilization costs.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of Rio de Janeiro, RJ.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Rio de Janeiro metropolitan area.
