This Purchase Order is issued by Andes Industrial Solutions SpA for the professional services of a qualified Mechanical Engineer to be deployed and executed within the metropolitan area of Chile Santiago. All prices are expressed in Chilean Pesos (CLP) and are inclusive of all professional fees. The 19% IVA (Impuesto al Valor Agregado) is applied in accordance with the tax regulations of the Servicio de Impuestos Internos (SII) of Chile.
The Mechanical Engineer team shall commence work on 1 July 2025 at the project site in Pudahuel, Santiago, Chile. The full scope of engineering services shall be completed no later than 30 November 2025. All deliverables, including final design packages, calculation reports, and commissioning certificates, must be submitted to the Purchasing Entity at the address listed in Section 1. The Purchase Order shall be considered fulfilled upon written acceptance of all deliverables by the project manager of Andes Industrial Solutions SpA in Chile Santiago.
6.1 Payment shall be made in three (3) installments via bank transfer (transferencia bancaria) to the account designated by TecnoIngeniería del Pacífico Ltda. in Santiago, Chile:
6.2 First installment (40%): CLP 34,153,000 – due upon commencement of services (July 2025).
6.3 Second installment (35%): CLP 29,883,875 – due upon submission of 75% of design deliverables (September 2025).
6.4 Third installment (25%): CLP 21,345,625 – due upon final acceptance and commissioning completion (November 2025).
6.5 Late payments shall accrue interest at the rate established by the Banco Central de Chile for overdue commercial obligations.
7.1 This Purchase Order is governed by the Civil Code of the Republic of Chile and the applicable commercial regulations of Santiago, Chile. Any disputes arising from this agreement shall be resolved by the competent courts of Santiago, Chile.
7.2 The Mechanical Engineer and all supporting personnel must hold valid professional registration with the Colegio de Ingenieros de Chile (CIC) and comply with all safety regulations (Normas NCh) applicable in Chile Santiago.
7.3 The Supplier warrants that all engineering services shall be performed in accordance with the Chilean Technical Standards (NCh) and applicable international codes (ASME, ASHRAE) as adopted in Chile.
7.4 The Purchasing Entity reserves the right to inspect and audit the work of the Mechanical Engineer at any time during the project execution in Chile Santiago.
7.5 Neither party may subcontract any portion of the work described in this Purchase Order without prior written consent of the other party.
7.6 All intellectual property generated under this Purchase Order shall vest in Andes Industrial Solutions SpA upon full payment.
7.7 This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Mechanical Engineer services in Chile Santiago and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Mechanical Engineer professional services to be performed in Chile Santiago.
