All on-site activities under this Purchase Order shall be conducted at the Buyer's manufacturing facility located in China Guangzhou, specifically at the Huangpu District industrial park. The Mechanical Engineer is expected to commence on-site work no later than 1 August 2025 and complete all deliverables by 30 November 2025. The Supplier shall ensure that the assigned Mechanical Engineer holds a valid PRC Registered Mechanical Engineer certificate and possesses a minimum of ten (10) years of relevant experience in heavy industrial production line design.

All payments shall be made via bank transfer to the Supplier's designated account in RMB (CNY). The Supplier shall issue a compliant VAT invoice (fapiao) to the Buyer prior to each payment due date in accordance with the tax regulations of the People's Republic of China.

1. This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
2. The Mechanical Engineer engaged under this Purchase Order shall comply with all applicable national standards (GB), industry standards, and local regulations of Guangdong Province and Guangzhou Municipality.
3. The Supplier warrants that the Mechanical Engineer shall not be simultaneously engaged in a conflicting project that would impair the quality or timeliness of deliverables for this Purchase Order.
4. All intellectual property rights in design documents, simulation data, and technical reports produced under this Purchase Order shall vest exclusively in the Buyer upon full payment.
5. The Supplier shall maintain professional indemnity insurance with a minimum coverage of CNY 5,000,000 for the duration of the project in China Guangzhou.
6. Any change in scope, timeline, or deliverables must be documented in a written Change Order signed by both parties before execution. No verbal modifications to this Purchase Order shall be binding.
7. The Supplier shall provide weekly progress reports to the Buyer's Project Manager. Failure to submit reports for two consecutive weeks shall constitute a material breach of this Purchase Order.
8. Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting the China Guangzhou region, shall excuse delayed performance for the duration of the event, provided written notice is given within 48 hours.
9. This Purchase Order becomes effective upon written acceptance by both parties and remains valid until all obligations are fulfilled or the validity expiry date stated herein, whichever is earlier.
