This Purchase Order authorizes the procurement of specialized Mechanical Engineer services to be rendered at the Andina Industrial Solutions manufacturing facility located in Colombia Medellín. The Mechanical Engineer shall be responsible for the complete design review, thermal analysis, and structural integrity assessment of the newly installed CNC machining line, as well as the development of a comprehensive preventive maintenance program for all rotating equipment within the plant. The scope of work encompasses on-site inspections, CAD modeling revisions, hydraulic system diagnostics, and the preparation of technical reports in compliance with Colombian industrial regulations (NTC standards) and applicable Antioquia municipal codes.

Terms and Conditions
- Validity: This Purchase Order is valid for 30 calendar days from the date of issue. The Mechanical Engineer must confirm acceptance in writing within 5 business days.
- Payment Terms: Net 30 days from receipt of approved invoice. Payment shall be made via bank transfer to the account specified by the Mechanical Engineer. A 4% withholding tax on income (renta) and 4% withholding on services (servicios) shall be applied per Colombian tax law (Estatuto Tributario).
- Delivery / Completion: All deliverables must be completed no later than August 15, 2025. On-site work in Colombia Medellín shall be conducted Monday through Friday, 8:00 AM to 5:00 PM, unless otherwise agreed in writing.
- Compliance: The Mechanical Engineer shall comply with all applicable Colombian labor regulations, occupational health and safety standards (NTP), and environmental regulations in force in the city of Medellín and the department of Antioquia.
- Confidentiality: All technical data, proprietary designs, and operational information of Andina Industrial Solutions shall be treated as strictly confidential. The Mechanical Engineer agrees to a non-disclosure agreement (NDA) as an annex to this Purchase Order.
- Intellectual Property: All reports, drawings, analyses, and deliverables produced under this Purchase Order shall become the exclusive property of Andina Industrial Solutions S.A.S. upon full payment.
- Termination: Either party may terminate this Purchase Order with 15 days written notice. In the event of early termination, the Mechanical Engineer shall be compensated for work completed and documented up to the termination date.
- Governing Law: This Purchase Order shall be governed by the commercial and civil laws of the Republic of Colombia. Any disputes shall be resolved by the competent courts of Medellín, Antioquia.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting operations in Colombia Medellín.
