1. This Purchase Order is governed by the laws of the Federal Democratic Republic of Ethiopia, including the Ethiopian Civil Code (Proclamation No. 1179/2019) and the Ethiopian Commercial Code. Any disputes arising from this Purchase Order shall be resolved through arbitration in Addis Ababa, Ethiopia, in accordance with the rules of the Ethiopian Arbitration and Conciliation Centre.
2. The Mechanical Engineer and all supporting personnel assigned under this Purchase Order must hold valid professional licences issued or recognised by the Ethiopian Engineers Association. Proof of licensure shall be submitted to the buyer prior to the commencement of any on-site work in Ethiopia Addis Ababa.
3. All deliverables, including engineering drawings, calculation reports, and compliance certificates, shall be submitted in both Amharic and English. The English version shall prevail in the event of any discrepancy.
4. The supplier shall maintain comprehensive professional indemnity insurance with a minimum coverage of ETB 10,000,000, valid throughout the duration of this Purchase Order and for a period of twenty-four (24) months following final acceptance of all deliverables.
5. Payment shall be made in Ethiopian Birr (ETB) via bank transfer to the supplier's designated account at Commercial Bank of Ethiopia, Addis Ababa branch. Payment schedule: 20% upon signing of this Purchase Order, 40% upon completion of design and documentation deliverables, 30% upon successful commissioning, and 10% upon final acceptance and handover of all manuals and training materials.
6. The supplier shall comply with all occupational health and safety regulations as enforced by the Ethiopian Ministry of Labour and Social Affairs. The Mechanical Engineer shall conduct a documented safety risk assessment before any on-site activity begins at the buyer's premises in Addis Ababa, Ethiopia.
7. Any change in scope, additional services, or modifications to the original specifications must be documented in a written Change Order signed by both parties before execution. No verbal instructions shall constitute a valid amendment to this Purchase Order.
8. The supplier warrants that all engineering work performed by the Mechanical Engineer shall conform to applicable Ethiopian Standards (ES), ASME, and ISO 9001:2015 quality management requirements. A defect liability period of twelve (12) months shall apply from the date of final acceptance.
9. Confidentiality: All proprietary information, trade secrets, and technical data exchanged under this Purchase Order shall be treated as strictly confidential by both parties. This obligation shall survive the termination or expiry of this Purchase Order for a period of five (5) years.
10. This Purchase Order shall become effective upon the date of the last signature below and shall remain in force until all obligations of both parties have been fully discharged.
