This Purchase Order is issued by TechnoDynamics GmbH, a manufacturing and industrial automation company headquartered in Germany Berlin, for the engagement of a qualified Mechanical Engineer to support the design, development, and commissioning of next-generation thermal management systems for our Berlin production facility. The Mechanical Engineer shall be responsible for CAD modelling, finite element analysis, prototyping oversight, and compliance verification in accordance with DIN, ISO, and EU Machinery Directive 2006/42/EC standards. All services under this Purchase Order shall be performed at the buyer's premises located in Germany Berlin unless otherwise agreed in writing.

- Delivery / Performance Period: All services under this Purchase Order shall commence on 1 July 2025 and be completed no later than 31 December 2025. The Mechanical Engineer personnel shall report to the Germany Berlin site on the first working day of each month for progress reviews.
- Payment Terms: Net 30 days from receipt of a valid invoice. Payment shall be made via SEPA bank transfer to the account specified by the vendor. Invoices must reference this Purchase Order number (DE-BER-2025-04872) and include the vendor's USt-IdNr. for VAT compliance within Germany Berlin.
- Quality and Compliance: The Mechanical Engineer deliverables must conform to all applicable German and European standards, including DIN EN ISO 9001, DIN EN ISO 14001, and the EU Machinery Directive. Non-conforming work shall be rectified at the vendor's cost within 10 working days.
- Intellectual Property: All designs, CAD files, simulation results, and documentation produced by the Mechanical Engineer under this Purchase Order shall become the exclusive property of TechnoDynamics GmbH upon full payment. The vendor grants no third-party rights.
- Confidentiality: The vendor and all Mechanical Engineer personnel engaged under this Purchase Order shall sign a mutual Non-Disclosure Agreement (NDA) prior to commencing work. Confidential information relating to Germany Berlin operations, proprietary processes, and client data shall not be disclosed to any third party.
- Health, Safety, and Environment: The Mechanical Engineer personnel shall comply with all site safety regulations at the Germany Berlin facility, including mandatory PPE, induction training, and adherence to the German Occupational Safety and Health Act (Arbeitsschutzgesetz).
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all services rendered and materials procured up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Germany Berlin.
- Warranty: The vendor warrants that all services provided by the Mechanical Engineer shall be performed in a professional and workmanlike manner, free from defects, for a period of 24 months from the date of final acceptance.
