Terms and Conditions
- Scope of Work: The contracted Mechanical Engineer shall perform all engineering tasks as specified in the attached Statement of Work (SOW-2025-041). All design work must adhere to the mechanical engineering standards recognized in Germany Munich and the broader European Union framework.
- Delivery Schedule: Phase I deliverables are due by 30 July 2025. Phase II deliverables are due by 15 September 2025. The Mechanical Engineer shall provide weekly progress reports to the project manager at TechnoMech Solutions GmbH, Munich.
- Payment Terms: Payment shall be made within 30 days of invoice receipt via SEPA bank transfer to the account specified by the vendor. Invoices must reference this Purchase Order number (TM-2025-ME-00847) for processing.
- Intellectual Property: All designs, calculations, CAD files, and documentation produced under this Purchase Order shall become the exclusive property of TechnoMech Solutions GmbH upon full payment. The Mechanical Engineer grants a full and irrevocable assignment of all intellectual property rights.
- Confidentiality: The Mechanical Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed during the engagement, in accordance with German data protection regulations (DSGVO / GDPR).
- Quality Assurance: All deliverables must meet the acceptance criteria defined in the SOW. Rejection of non-conforming work shall be communicated within 10 business days. The Mechanical Engineer shall rectify deficiencies at no additional cost.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Germany Munich (Landgericht Munich).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting the Germany Munich region.
- Termination: Either party may terminate this Purchase Order with 14 days written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work completed and documented up to the termination date.
Acceptance & Authorization
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of a Mechanical Engineer in the Germany Munich region. This document constitutes a binding agreement effective from the date of the last signature.
