Description of Purchase – Mechanical Engineer ServicesThis Purchase Order is issued by Apex Engineering Solutions Pvt. Ltd., a manufacturing and industrial design firm headquartered in India Bangalore, for the engagement of a qualified Mechanical Engineer to provide specialized technical services for our ongoing thermal management and structural design projects. The Mechanical Engineer shall be deployed at our primary facility located in Whitefield, India Bangalore, and shall report directly to the Head of Engineering Operations. This Purchase Order governs all terms, deliverables, compensation, and obligations associated with the professional services rendered by the Mechanical Engineer under this arrangement.

The Mechanical Engineer engaged under this Purchase Order shall perform the following duties at the India Bangalore facility:
(a) Lead the design and analysis of thermal management systems for industrial HVAC units, ensuring compliance with BIS and ASHRAE standards applicable in India Bangalore.
(b) Develop and maintain 3D CAD models and perform finite element analysis (FEA) for structural components using ANSYS and SolidWorks.
(c) Conduct on-site inspections, prototype testing, and quality assurance reviews at the manufacturing floor in India Bangalore.
(d) Prepare detailed engineering drawings, technical specifications, and Bill of Materials (BOM) documentation for client deliverables.
(e) Collaborate with the cross-functional team including electrical engineers, project managers, and quality assurance personnel based in India Bangalore.
(f) Provide weekly progress reports and monthly performance summaries to the Head of Engineering Operations.
Terms and Conditions1. Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice from the vendor. The first payment of INR 2,59,500 (one month's retainer plus onboarding) shall be due within 15 days of the Mechanical Engineer's commencement date. Subsequent monthly payments of INR 1,85,000 shall be due on the 5th of each following month. All payments shall be made via NEFT/RTGS to the vendor's designated bank account in India Bangalore.
2. Commencement Date: The Mechanical Engineer shall report for duty on or before 1 July 2025 at the Apex Engineering Solutions facility, Whitefield, India Bangalore.
3. Contract Duration: This Purchase Order is valid for a period of twelve (12) months from the commencement date, subject to mutual renewal by written agreement.
4. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall ensure a smooth handover of all project documentation, CAD files, and work-in-progress materials related to the Mechanical Engineer's assignments.
5. Confidentiality: The Mechanical Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary designs, client data, and trade secrets of Apex Engineering Solutions. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
6. Statutory Compliance: The vendor shall ensure that the Mechanical Engineer is fully compliant with all applicable labour laws, EPF, ESI, and professional tax regulations as enforced in the state of Karnataka and the city of India Bangalore.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India Bangalore, Karnataka, India.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with jurisdiction vested in the courts of India Bangalore.
