2. Description of Services – Mechanical Engineer Procurement

This Purchase Order is issued by Al-Rafidain Industrial Engineering Co., Ltd. to procure the professional services of a qualified Mechanical Engineer for the duration of the Al-Mansour Industrial Park Expansion Project, located in Iraq Baghdad. The Mechanical Engineer shall be responsible for the design, analysis, and oversight of all mechanical systems including HVAC installations, piping networks, pressure vessels, rotating machinery, and structural support frameworks within the project scope. The selected Mechanical Engineer must hold a minimum of ten (10) years of documented professional experience in industrial mechanical engineering and must be registered with the Iraqi Engineers Syndicate, Baghdad Chapter. All deliverables under this Purchase Order shall comply with the Iraqi Building Code, ASME standards, and applicable Iraqi Ministry of Industry and Mineral regulations governing industrial construction in Iraq Baghdad.

4. Scope of Work and Deliverables

The Mechanical Engineer engaged under this Purchase Order shall perform the following duties at the project site in Iraq Baghdad:

  1. Prepare and review all mechanical design packages, including but not limited to HVAC layouts, process piping isometrics, and equipment data sheets, in accordance with the project specifications issued by the client.
  2. Conduct structural and thermal stress analyses on all pressure-containing equipment and piping systems, ensuring compliance with ASME Section VIII and Iraqi national codes.
  3. Coordinate with civil, electrical, and instrumentation engineering teams to resolve spatial and interface conflicts within the industrial facility footprint in Baghdad.
  4. Issue weekly progress reports and monthly technical summaries to the Project Director at Al-Rafidain Industrial Engineering Co., Ltd.
  5. Attend all project coordination meetings held at the Baghdad project office, no fewer than three (3) times per week.
  6. Provide technical support during the procurement phase for long-lead mechanical equipment, including vendor technical queries and bid evaluation.
  7. Oversee the installation and commissioning of all mechanical systems, issuing certificates of completion upon successful performance testing.
5. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the Iraqi Arbitration Law.
  2. Payment Schedule: Invoices shall be submitted on the last working day of each calendar month. Payment shall be made within thirty (30) days of receipt of a valid invoice. All payments shall be processed in US Dollars via wire transfer to the vendor's designated bank account in Iraq Baghdad.
  3. Performance Bond: The vendor shall provide a performance bond equivalent to ten percent (10%) of the total contract value, issued by a licensed Iraqi bank, prior to the commencement of services.
  4. Insurance: The Mechanical Engineer and all supporting personnel shall maintain comprehensive professional liability insurance and workers' compensation coverage as required by Iraqi labor law throughout the duration of this Purchase Order.
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the vendor shall be compensated for all services rendered up to the effective date of termination.
  6. Confidentiality: All technical data, drawings, and project information exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent from Al-Rafidain Industrial Engineering Co., Ltd.
  7. Compliance: The vendor and the Mechanical Engineer shall comply with all applicable Iraqi federal and Baghdad municipal regulations, including but not limited to occupational health and safety standards, environmental protection laws, and labor codes in force in Iraq Baghdad at the time of performance.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of war, civil unrest, government sanctions, or natural disasters affecting the Baghdad region.
6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Mechanical Engineer services in Iraq Baghdad. This document constitutes a binding agreement upon execution by both authorized representatives.
