This Purchase Order authorizes the engagement of qualified Mechanical Engineer professionals to perform comprehensive design, analysis, supervision, and documentation services for the municipal infrastructure project located in Israel Jerusalem. The Mechanical Engineer assigned to this contract must hold a valid license issued by the Israeli Engineers Association (IIE) and possess a minimum of ten (10) years of professional experience in mechanical systems design within the Israeli construction and industrial sectors.

All deliverables must conform to the specifications outlined in the attached Statement of Work (SOW) and must be submitted to the project manager at Jerusalem Engineering & Infrastructure Solutions Ltd. no later than the dates specified in the project timeline. The Mechanical Engineer is responsible for ensuring that all designs meet or exceed the requirements of the Israeli Building Code, the Ministry of Environmental Protection regulations, and all applicable municipal bylaws governing the Jerusalem district.

  1. This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this Purchase Order shall be resolved through arbitration in Jerusalem, Israel, in accordance with the Israeli Arbitration Law, 5728-1968.
  2. The Mechanical Engineer shall maintain full professional liability insurance with a minimum coverage of ILS 2,000,000 per occurrence throughout the duration of this Purchase Order. A certificate of insurance must be provided prior to commencement of work.
  3. All work performed under this Purchase Order in Israel Jerusalem shall comply with the Israeli Labor Law, the Occupational Safety and Health Law, and all applicable municipal regulations of the Jerusalem Municipality.
  4. Payment shall be made via bank transfer to the account designated by the vendor. Invoices must reference this Purchase Order number (PO-JER-2025-00847) and include the vendor's VAT registration number.
  5. The Mechanical Engineer shall not subcontract any portion of the work without prior written consent from the purchasing entity. Any approved subcontractor must meet the same qualification standards as the primary Mechanical Engineer.
  6. Confidentiality: All technical data, site plans, and proprietary information shared in connection with this Purchase Order shall be treated as strictly confidential. The Mechanical Engineer agrees to a non-disclosure period of five (5) years following project completion.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work completed and documented up to the termination date.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or civil unrest affecting the Israel Jerusalem region.
  9. All intellectual property created specifically for this project under this Purchase Order shall vest in Jerusalem Engineering & Infrastructure Solutions Ltd. upon full payment.
  10. The Mechanical Engineer warrants that all services rendered shall be performed in a professional, workmanlike manner consistent with the standards of practice in the field of mechanical engineering in Israel.

This Purchase Order is issued and authorized by the undersigned on behalf of Jerusalem Engineering & Infrastructure Solutions Ltd. The vendor's acceptance of this Purchase Order constitutes a binding agreement to perform the Mechanical Engineer services as described herein, in full compliance with all stated terms, conditions, and regulatory requirements applicable to the Israel Jerusalem jurisdiction.
