Acceptance of each milestone shall be confirmed in writing by the Buyer's Procurement Director within ten (10) business days of receipt. Failure to confirm within this period shall constitute deemed acceptance under Israeli commercial law.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Israel Tel Aviv.
- The Mechanical Engineer assigned to this Purchase Order must hold a valid license issued by the Israeli Engineers Association (IET) and possess a minimum of ten (10) years of professional experience in industrial mechanical systems.
- All work performed under this Purchase Order shall comply with the Building Code of Israel, SII standards, and the regulations of the Israel Ministry of Energy and Environment.
- The Vendor shall maintain professional liability insurance with a minimum coverage of ILS 5,000,000 for the duration of the engagement. A certificate of insurance shall be provided prior to commencement of work at the Israel Tel Aviv site.
- Payment shall be made via bank transfer to the Vendor's account in Israel within thirty (30) days of the Buyer's written acceptance of the applicable milestone deliverable. Late payments shall accrue interest at the statutory rate prescribed by the Israeli Interest Law, 5745-1985.
- The Vendor warrants that all designs, calculations, and documentation produced by the Mechanical Engineer shall be original, free from intellectual property infringement, and fit for the intended purpose as described in this Purchase Order.
- Confidentiality: All technical data, site plans, and proprietary information exchanged in connection with this Purchase Order shall be treated as confidential. This obligation survives termination of the Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or civil unrest affecting the Israel Tel Aviv metropolitan area.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and approved up to the termination date.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall have no legal effect.
