- Scope of Work: This Purchase Order authorises TecnoIngegneria Progetti S.r.l. to provide the Mechanical Engineer services as described in the line items above. All work shall be performed in accordance with the technical specifications attached as Appendix A to this Purchase Order and in compliance with all applicable Italian and European regulations governing mechanical engineering practice.
- Place of Performance: All on-site activities, inspections, and commissioning work shall be carried out at the buyer's facility located in Milan, Italy (Via Paolo Sarpi 42, 20154 Milan). The Mechanical Engineer assigned to this contract must be a registered professional engineer (Ispettore Tecnico) with the Italian Chamber of Engineers (Ordine degli Ingegneri) of the Province of Milan.
- Commencement and Completion: The Mechanical Engineer shall commence work no later than 1 July 2025. All deliverables, including final reports, drawings, and commissioning certificates, must be completed and submitted by 30 September 2025. Any extension of the timeline must be approved in writing by the buyer's Project Manager.
- Payment Terms: Payment shall be made within 60 days from the date of invoice receipt, in accordance with Italian Law No. 192/1998 on payment delays. Invoices must be issued in EUR and submitted to the accounts payable department at Industrie Meccaniche Lombardi S.p.A., Milan, Italy. Payment will be made via bank transfer to the account specified on the supplier's invoice.
- Quality and Standards: All Mechanical Engineer deliverables must comply with ISO 9001:2015 quality management standards, applicable UNI (Italian National Standards) specifications, and relevant EU directives (including the Machinery Directive 2006/42/EC). The buyer reserves the right to reject any work that does not meet the agreed technical specifications.
- Confidentiality: The Mechanical Engineer and all personnel assigned to this Purchase Order shall treat all technical data, proprietary designs, and operational information of Industrie Meccaniche Lombardi S.p.A. as strictly confidential. This obligation shall survive the termination of this contract for a period of five (5) years.
- Health, Safety, and Environment: The Mechanical Engineer must comply with all health and safety regulations applicable in Italy, including D.Lgs. 81/2008 (Testo Unico sulla Sicurezza). The supplier shall provide all necessary personal protective equipment (PPE) and ensure that the assigned Mechanical Engineer holds a valid safety training certificate for industrial environments in Milan, Italy.
- Intellectual Property: All designs, calculations, drawings, and documentation produced under this Purchase Order shall become the exclusive property of Industrie Meccaniche Lombardi S.p.A. upon full payment. The Mechanical Engineer shall not reuse, reproduce, or disclose any project-specific information for any other client or purpose without prior written consent.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all services rendered and materials procured up to the date of termination, as certified by the project supervisor.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Milan, Italy.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, strikes, or government-imposed restrictions affecting operations in Milan, Italy.
