This Purchase Order is issued by TechNova Industrial Solutions S.r.l. to formally engage the services of a qualified Mechanical Engineer for the design, analysis, and oversight of industrial mechanical systems at our primary manufacturing facility located in Italy Rome. The scope of work encompasses the full lifecycle of mechanical engineering support, including but not limited to: conceptual design of new production line components, finite element analysis (FEA) of existing structural assemblies, thermal and fluid dynamics simulation, maintenance planning, and compliance verification in accordance with Italian and European mechanical engineering standards (UNI EN ISO 9001, UNI EN 13445, and applicable D.Lgs. 81/2008 safety regulations).
The Mechanical Engineer shall operate primarily on-site at the Rome facility, with the flexibility to conduct remote analytical work as directed by the project manager. All deliverables, technical drawings, calculation reports, and engineering documentation must be produced in both Italian and English to satisfy local regulatory requirements in Italy Rome and the company's international client base.

- Scope and Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Mechanical Engineer. All services shall be performed in full compliance with the professional code of conduct established by the Ordine degli Ingegneri di Roma and applicable Italian civil and commercial law.
- Location of Work: All on-site activities shall take place at the TechNova facility in Italy Rome (Via dell'Innovazione, 42, 00185 Roma). The Mechanical Engineer is responsible for travel to and from the site within the Rome metropolitan area. Any travel outside the Lazio region must be pre-approved in writing by the Buyer.
- Intellectual Property: All designs, calculations, CAD files, simulation results, and engineering reports produced under this Purchase Order shall become the exclusive property of TechNova Industrial Solutions S.r.l. upon full payment. The Mechanical Engineer retains the right to reference the project in a professional portfolio with prior written consent.
- Confidentiality: The Mechanical Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data encountered during the engagement in Italy Rome. This obligation survives the termination of this contract for a period of five (5) years.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of the invoice date via bank transfer to the account specified by the Mechanical Engineer. Late payments shall accrue interest at the rate established by Italian law (Legge 248/2006).
- Quality and Standards: All engineering deliverables must conform to current Italian national standards (UNI), European harmonized standards (EN), and applicable ISO standards. The Mechanical Engineer shall provide all necessary calculations, assumptions, and references to support each deliverable.
- Insurance and Liability: The Mechanical Engineer shall maintain professional liability insurance (RC Professionale) with a minimum coverage of EUR 500,000 per occurrence, valid throughout the duration of this Purchase Order. A certificate of insurance shall be provided prior to the commencement of work.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work completed and documented up to the termination date.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy.
- Health and Safety: The Mechanical Engineer shall comply with all health and safety protocols at the Rome facility in accordance with D.Lgs. 81/2008 (Testo Unico sulla Sicurezza) and shall complete the mandatory site safety induction before commencing on-site work.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Mechanical Engineer at the facility in Italy Rome.
