  1. Scope of Engagement: The Mechanical Engineer shall perform all duties and responsibilities as outlined in this Purchase Order in strict accordance with Japanese engineering standards (JIS), applicable national regulations, and the specific technical requirements communicated by the buyer's project management team in Japan Kyoto.
  2. Location of Work: All services under this Purchase Order shall be rendered at the buyer's premises in Japan Kyoto or at such other locations within Kyoto prefecture as may be mutually agreed upon in writing. The Mechanical Engineer is expected to be physically present at the Japan Kyoto site during all scheduled working hours.
  3. Qualifications: The Mechanical Engineer engaged under this Purchase Order must hold a valid Japanese Registered Mechanical Engineer (Kikikaishi) license, possess a minimum of ten (10) years of relevant industry experience, and demonstrate proficiency in SolidWorks, ANSYS, and AutoCAD software platforms.
  4. Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the design and prototype phase, and 30% upon final delivery and acceptance of all documentation. All payments shall be processed via bank transfer to the vendor's account in Japan Kyoto within thirty (30) calendar days of invoice receipt.
  5. Confidentiality: The Mechanical Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data encountered during the engagement in Japan Kyoto. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work.
  6. Intellectual Property: All designs, drawings, reports, and deliverables produced by the Mechanical Engineer under this Purchase Order shall become the exclusive property of Kyoto Precision Manufacturing Co., Ltd. upon full payment.
  7. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work completed up to the termination date, and all work-in-progress materials related to the Japan Kyoto project shall be surrendered to the buyer.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this agreement shall be resolved through arbitration in Japan Kyoto in accordance with the rules of the Japan Commercial Arbitration Association.
  9. Compliance: The vendor and the Mechanical Engineer shall comply with all applicable Japanese labor laws, occupational safety regulations (Safety and Health Act), and environmental standards while performing services in Japan Kyoto.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Mechanical Engineer services described herein shall commence no earlier than the date of mutual written confirmation and shall be executed in full compliance with the project timeline established for the Japan Kyoto facility.
