- Scope of Work: This Purchase Order authorizes the engagement of a qualified Mechanical Engineer and the procurement of associated technical equipment for use exclusively at the Kinki Industrial Solutions facility located in Japan Osaka. The Mechanical Engineer shall adhere to all applicable Japanese industrial standards (JIS) and Osaka Prefecture municipal building and safety codes throughout the project lifecycle.
- Delivery and Installation: All physical goods listed in this Purchase Order shall be delivered, installed, and commissioned at the designated Japan Osaka project site. The supplier is responsible for all logistics, customs clearance (if applicable for imported components), and on-site setup within the Japan Osaka metropolitan area.
- Quality Assurance: The Mechanical Engineer shall conduct and document all quality inspections in accordance with ISO 9001:2015 standards. All deliverables must be approved in writing by the Purchasing Entity's project manager before acceptance. Non-conforming items must be rectified at the supplier's expense within fourteen (14) calendar days.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 50% upon completion of major equipment delivery and installation in Japan Osaka, and 20% upon final acceptance of all deliverables and submission of the closing technical report by the Mechanical Engineer.
- Intellectual Property: All designs, drawings, CAD models, and technical documentation produced by the Mechanical Engineer under this Purchase Order shall become the exclusive property of Kinki Industrial Solutions Co., Ltd. upon full payment. The Mechanical Engineer retains no right to reuse proprietary designs for third parties without written consent.
- Compliance and Safety: The Mechanical Engineer and all subcontractors must comply with the Japanese Labor Standards Act, the Osaka Prefecture Industrial Safety and Health Ordinance, and all relevant environmental regulations applicable to the Japan Osaka region. Personal protective equipment (PPE) and safety protocols must be maintained at all times on the Japan Osaka site.
- Warranty: All procured equipment carries a minimum twelve (12) month warranty from the date of commissioning in Japan Osaka. The Mechanical Engineer's professional services carry a six (6) month defect liability period from the date of final acceptance.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Osaka, Japan, in accordance with the rules of the Osaka Arbitration Center. If mediation fails, the matter shall be submitted to the Osaka District Court under the jurisdiction of Japan Osaka.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes and typhoons common to the Japan Osaka region), government mandates, or other events beyond reasonable control, provided written notice is given within five (5) business days.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and business information exchanged under this Purchase Order. This obligation survives termination for a period of three (3) years.
