This Purchase Order is issued by Almaty Industrial Development Group LLP (hereinafter referred to as the "Buyer") to Central Asia Engineering Solutions JSC (hereinafter referred to as the "Supplier") for the procurement of specialized professional services rendered by a qualified Mechanical Engineer. The scope of work under this Purchase Order encompasses the design, analysis, and technical oversight of industrial mechanical systems to be installed and operated within the Buyer's manufacturing facility located in Kazakhstan Almaty, specifically at the Almaty Free Economic Zone Industrial Park, Plot 14, Almaty, Kazakhstan.

The Mechanical Engineer engaged under this Purchase Order shall provide the following professional services in Kazakhstan Almaty:

The Mechanical Engineer assigned to fulfill the obligations under this Purchase Order must meet the following minimum qualifications: a minimum of ten (10) years of professional experience in industrial mechanical engineering; a valid professional engineering license registered with the National Chamber of Engineers of the Republic of Kazakhstan; demonstrated prior experience on projects of similar scale in Kazakhstan Almaty or equivalent Central Asian industrial environments; proficiency in AutoCAD, SolidWorks, ANSYS, and relevant simulation software; and fluency in Russian and Kazakh languages for effective communication with local regulatory authorities in Kazakhstan Almaty.

Payment under this Purchase Order shall be made in Tenge (KZT) via bank transfer to the Supplier's designated account. The payment schedule is structured as follows: 30% advance payment upon execution of this Purchase Order; 40% upon completion and acceptance of the design and analysis deliverables (Items 01 and 02); 20% upon successful completion of on-site installation supervision (Item 03); and 10% upon final acceptance of documentation and commencement of the warranty period (Items 04 and 05). All invoices must reference this Purchase Order number (KZ-ALM-2025-04782) and shall be payable within fifteen (15) calendar days of receipt. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated under the Civil Code of the Republic of Kazakhstan.

The Mechanical Engineer shall commence work no later than 01 July 2025. The design and analysis phase (Items 01 and 02) shall be completed by 30 August 2025. On-site installation supervision (Item 03) shall take place between 01 September 2025 and 30 October 2025. Documentation delivery (Item 04) is due by 15 November 2025. The warranty and post-commissioning support period (Item 05) shall run from 01 December 2025 through 30 November 2026. All milestones are subject to the Buyer's written approval and acceptance in Kazakhstan Almaty.

This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through the Arbitration Court of Almaty City, Kazakhstan. The Supplier warrants that the Mechanical Engineer shall perform all services in a professional, workmanlike manner consistent with industry standards applicable in Kazakhstan Almaty. The Supplier shall maintain adequate professional liability insurance coverage of no less than 50,000,000 KZT for the duration of this engagement. Neither party may assign its obligations under this Purchase Order without prior written consent of the other party. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Mechanical Engineer services for the Kazakhstan Almaty project and supersedes all prior negotiations, representations, and agreements.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Mechanical Engineer in Kazakhstan Almaty. This document is valid for a period of ninety (90) days from the date of issue, after which it shall expire unless renewed in writing.
