This Purchase Order constitutes a binding agreement between both parties for the scope of work, deliverables, payment terms, and professional obligations as outlined herein.

The Mechanical Engineer engaged under this Purchase Order shall perform the following professional duties within the Kenya Nairobi operational area:

• Conduct a comprehensive mechanical systems audit of the existing production line equipment at the Kenya Nairobi manufacturing plant, including HVAC systems, pneumatic networks, and conveyor mechanisms.
• Prepare detailed engineering drawings, technical specifications, and Bill of Quantities (BoQ) for the replacement of three (3) industrial compressors rated at 75 kW each, to be installed at the Kenya Nairobi facility.
• Perform structural integrity assessments on all load-bearing mechanical frameworks and submit a certified engineering report in accordance with the Kenya Engineering Council (KEC) standards.
• Provide on-site supervision and technical guidance during the installation and commissioning phase, ensuring compliance with the Occupational Safety and Health Act (OSHA) of Kenya and all applicable Kenya Nairobi municipal by-laws.
• Deliver a final Mechanical Engineer's certification and as-built documentation package within thirty (30) calendar days of project completion.

All prices are quoted in Kenyan Shillings (KES) and are inclusive of all professional fees for the Mechanical Engineer services. The total amount of KES 1,592,100.00 (One Million Five Hundred and Ninety-Two Thousand One Hundred Kenyan Shillings Only) is the final value of this Purchase Order.

• Payment Schedule: 30% advance payment upon acceptance of this Purchase Order; 40% upon completion of design and structural assessment deliverables; 30% upon final commissioning and handover of the Mechanical Engineer's certification.
• Payment Method: Bank transfer to the supplier's designated account at Equity Bank PLC, Kenya Nairobi branch (Account No: 0123456789, Branch Code: 0100).
• Payment Period: All invoices shall be settled within fourteen (14) calendar days of receipt of a valid tax invoice from the Mechanical Engineer's firm.

All engineering work shall comply with the Kenyan Building and Planning Act, the Occupational Safety and Health Act (2007), and all relevant Kenya Nairobi City County regulations governing industrial mechanical installations. The supplier shall maintain professional indemnity insurance with a minimum cover of KES 5,000,000 for the duration of the engagement.

Either party may cancel this Purchase Order by providing thirty (30) days' written notice. In the event of cancellation by the buyer after work has commenced, the Mechanical Engineer shall be compensated for all work completed and materials procured up to the date of cancellation. Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995 of Kenya. The laws of the Republic of Kenya shall govern this Purchase Order.
