Scope of Purchase Order

This Purchase Order is issued by Gulf Infrastructure & Engineering Solutions W.L.L. to formally procure the professional services of a qualified Mechanical Engineer to be deployed and rendered at the project site located in Kuwait, Kuwait City. The Mechanical Engineer shall be responsible for the design review, performance analysis, and operational oversight of HVAC systems, industrial piping networks, and thermal management infrastructure for the Al-Mina Commercial Development Phase III project. All services under this Purchase Order shall be executed in strict compliance with the Kuwait Building Code, the Kuwait Fire and Civil Defence regulations, and the applicable standards of the American Society of Mechanical Engineers (ASME) as adopted by the Public Works Authority (Awqaf) in Kuwait, Kuwait City.

Terms & Conditions of This Purchase Order
  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within five (5) business days of the date of issue. Failure to respond within this period shall constitute a declination of this Purchase Order.
  2. Engagement Period: The Mechanical Engineer personnel shall be deployed to the project site in Kuwait, Kuwait City no later than 21 June 2025 and shall remain engaged for a period of thirty (30) calendar days, subject to extension by mutual written agreement.
  3. Qualifications: The lead Mechanical Engineer shall hold a minimum of a Bachelor's degree in Mechanical Engineering from an accredited institution, possess a valid Professional Engineer (PE) or Chartered Engineer (CEng) license, and demonstrate a minimum of ten (10) years of experience in commercial and industrial mechanical systems. All supporting Mechanical Engineer staff shall hold relevant degrees and a minimum of five (5) years of field experience.
  4. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Supplier. Payment shall be processed via bank transfer to the Supplier's designated account in Kuwaiti Dinars (KWD). Late payments shall attract interest at the rate of 1.5% per month as stipulated under Kuwaiti commercial law.
  5. Work Location & Compliance: All services under this Purchase Order shall be performed at the project premises in Kuwait, Kuwait City. The Mechanical Engineer team shall comply with all local labor regulations, occupational health and safety standards, and the directives of the Kuwait Ministry of Public Works and the Kuwait Fire and Civil Defence Authority.
  6. Intellectual Property: All design documents, calculations, reports, and as-built drawings produced by the Mechanical Engineer team under this Purchase Order shall become the exclusive property of the Purchasing Party upon full payment.
  7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all project data, proprietary information, and commercial terms disclosed in connection with this Purchase Order for a period of three (3) years following project completion.
  8. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Supplier shall be compensated for all services rendered by the Mechanical Engineer team up to the effective date of termination.
  9. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Kuwait, Kuwait City.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or civil unrest in Kuwait, Kuwait City.
