4. TERMS AND CONDITIONS
  • Scope of Work: The Mechanical Engineer shall perform all duties in strict accordance with the technical specifications attached as Annex A to this Purchase Order. All engineering deliverables must comply with the applicable Mexican Official Standards (NOM) and the regulations of the Secretaría de Energía of Mexico.
  • Project Location: All on-site activities, inspections, and supervisory duties shall be conducted at the designated facility located in Mexico, Mexico City. The Mechanical Engineer is expected to be physically present at the Mexico City site for a minimum of 60% of the contracted hours.
  • Timeline: The Mechanical Engineer services shall commence on July 1, 2025, and shall be completed no later than October 31, 2025. Milestone deliverables are outlined in the project schedule attached to this Purchase Order.
  • Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of the design phase, and 30% upon final commissioning and delivery of as-built documentation. All payments shall be made in Mexican Pesos (MXN) via bank transfer to the account specified by the Supplier.
  • Qualifications: The Mechanical Engineer assigned to this Purchase Order must hold a valid professional license (Cédula Profesional) issued by the Colegio de Ingenieros Mecánicos de México and a minimum of ten (10) years of experience in industrial mechanical systems within Mexico.
  • Confidentiality: The Mechanical Engineer and all personnel engaged under this Purchase Order shall maintain strict confidentiality regarding all proprietary information, technical drawings, and operational data of Grupo Industrial del Valle, S.A. de C.V.
  • Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered up to the date of termination, as documented by the Mechanical Engineer's timesheets.
  • Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the United Mexican States, with jurisdiction vested in the courts of Mexico City, Mexico.
  • Warranty: The Mechanical Engineer warrants that all designs, calculations, and recommendations provided under this Purchase Order shall be free from defects and shall conform to the applicable engineering standards in force in Mexico at the time of delivery.

Document Reference: This Purchase Order (PO-MX-2025-04872) constitutes a binding agreement between the parties for the procurement of Mechanical Engineer services in Mexico, Mexico City.
