This Purchase Order is issued by Atlas Industrial Solutions SARL, a registered industrial manufacturing company headquartered in Casablanca, Morocco, to procure the professional services of a qualified Mechanical Engineer for the design, analysis, and technical oversight of the new automated production line at our Casablanca industrial facility. The Mechanical Engineer shall be responsible for all mechanical design deliverables, structural integrity assessments, thermal system calculations, and on-site supervision of fabrication and assembly activities conducted within the Casablanca industrial zone. This Purchase Order constitutes a binding agreement between the parties for the duration specified herein and is governed by the commercial and labor regulations of the Kingdom of Morocco.

- Acceptance: This Purchase Order shall become effective upon written acceptance by the Mechanical Engineer within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Performance Location: All on-site services, inspections, and supervisory activities shall be conducted at the Atlas Industrial Solutions facility located in the Casablanca industrial zone, Morocco. The Mechanical Engineer shall comply with all site safety protocols and Moroccan occupational health regulations.
- Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon contract commencement, 40% upon completion of design and fabrication phases, and 30% upon final commissioning and acceptance. All payments shall be made via bank transfer to the account designated by the Mechanical Engineer.
- Intellectual Property: All designs, drawings, CAD files, and technical documentation produced under this Purchase Order shall remain the exclusive property of Atlas Industrial Solutions SARL. The Mechanical Engineer grants a full and irrevocable license to use, modify, and reproduce all deliverables.
- Compliance: The Mechanical Engineer warrants that all work shall conform to applicable Moroccan industrial standards, the Moroccan Code of Construction, and any relevant international standards (ISO, ASME) as specified in the project brief. The Mechanical Engineer shall hold a valid professional registration with the Ordre des Ingénieurs du Maroc throughout the engagement.
- Confidentiality: The Mechanical Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data of Atlas Industrial Solutions SARL. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work completed and documented up to the date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court of Casablanca, Morocco.
- Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or civil unrest within the Casablanca region or the Kingdom of Morocco.
- Insurance: The Mechanical Engineer shall maintain professional liability insurance with a minimum coverage of 500,000 MAD throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
The Mechanical Engineer shall deliver all project outputs in both digital (PDF, DWG, STEP, SolidWorks native) and hard-copy formats. Final acceptance of deliverables shall be confirmed in writing by the Project Director of Atlas Industrial Solutions SARL. The Mechanical Engineer shall attend all project review meetings scheduled at the Casablanca office and shall provide weekly progress reports in French or Arabic as required by the client.
