TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between Golden Pagoda Industrial Solutions Co., Ltd. (the "Buyer") and Delta Engineering & Technical Services (Myanmar) Co., Ltd. (the "Supplier") for the provision of Mechanical Engineer services and associated technical equipment at the Buyer's facility located in Myanmar Yangon.
  2. All Mechanical Engineer personnel assigned under this Purchase Order must hold valid work permits issued by the Ministry of Labour, Immigration and Population, Republic of the Union of Myanmar, and must comply with all local labour regulations applicable in Yangon and the surrounding regions.
  3. The Supplier shall ensure that every Mechanical Engineer engaged under this Purchase Order carries professional indemnity insurance with a minimum coverage of MMK 500,000,000, valid throughout the term of the contract and within the jurisdiction of Myanmar.
  4. Delivery of all physical goods (Items 4 and 5) shall be made DAP to the Buyer's warehouse at Hlaing Road, Yangon, Myanmar. Risk of loss transfers to the Buyer upon delivery at the named place in Myanmar Yangon.
  5. Payment shall be made via bank transfer to the Supplier's designated account at CB Bank, Yangon Branch, within 30 calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 1.5% per month as stipulated under Myanmar commercial law.
  6. The Supplier warrants that all Mechanical Engineer services shall be performed in a professional, workmanlike manner in accordance with ASME, ISO, and applicable Myanmar national standards. Any deficiency in the work of the Mechanical Engineer team shall be rectified at the Supplier's own cost within 14 days of written notice.
  7. Confidentiality: All technical data, drawings, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential. The Mechanical Engineer team shall sign individual Non-Disclosure Agreements (NDAs) prior to commencing work at the Myanmar Yangon site.
  8. This Purchase Order is governed by the laws of the Republic of the Union of Myanmar. Any disputes arising shall be resolved through arbitration in Yangon in accordance with the Myanmar Arbitration Law (2016). The seat of arbitration shall be Yangon, Myanmar.
  9. The Supplier shall submit a detailed project schedule and resource plan within 10 business days of acceptance of this Purchase Order. The schedule must account for Myanmar public holidays, including Thingyan (Water Festival) and the full moon holidays observed in Yangon.
  10. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting operations in Myanmar Yangon. The affected party must notify the other within 48 hours.
  11. This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No oral modification shall be valid.
