This Purchase Order is issued by Wellington Infrastructure & Engineering Ltd. to formally engage the services of a qualified Mechanical Engineer to deliver comprehensive mechanical design, analysis, and project oversight for the Wellington Harbour Tunnel Ventilation Upgrade Project. - Acceptance: This Purchase Order constitutes a binding offer. Acceptance by the Supplier shall be confirmed in writing within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order void.
- Scope of Work: The Mechanical Engineer shall perform all duties in strict accordance with the scope outlined in Section 3 of this Purchase Order. Any variation or change order must be approved in writing by the Purchaser prior to commencement of additional work.
- Professional Standards: The Mechanical Engineer shall hold a valid Practising Certificate issued by Engineers New Zealand and shall maintain professional indemnity insurance of no less than NZD 5,000,000 per claim throughout the duration of this engagement in New Zealand Wellington.
- Compliance: All work shall comply with the New Zealand Building Code, the Health and Safety at Work Act 2015, and all relevant regulations administered by WorkSafe New Zealand. The Mechanical Engineer shall ensure all designs meet the specific environmental and seismic requirements applicable to the New Zealand Wellington region (Seismic Zone 3, NZS 1170.5).
- Payment: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate prescribed under the Late Payment of Commercial Debts Interest Act 1998 (New Zealand).
- Confidentiality: All project data, drawings, and proprietary information exchanged under this Purchase Order shall be treated as confidential. The Mechanical Engineer shall not disclose any information to third parties without prior written consent from Wellington Infrastructure & Engineering Ltd.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to mediation under the New Zealand Dispute Resolution Service. Failing mediation, disputes shall be resolved by arbitration in New Zealand Wellington in accordance with the Arbitration Act 1996.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. Upon termination, the Purchaser shall pay for all services rendered up to the date of termination. The Mechanical Engineer shall deliver all work-in-progress documentation to the Purchaser within seven (7) days of termination.
- Intellectual Property: All drawings, reports, models, and documentation produced under this Purchase Order shall become the sole property of Wellington Infrastructure & Engineering Ltd. upon full payment. The Mechanical Engineer retains the right to reference the project in a general portfolio without disclosing confidential details.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters (earthquakes, tsunamis, volcanic activity) as are common in New Zealand Wellington, provided that the affected party gives prompt written notice.
