1. Scope of Engagement: The Mechanical Engineer engaged under this Purchase Order shall perform all duties in strict accordance with the technical specifications outlined in Annex A (attached separately) and shall maintain full compliance with Peruvian labor regulations, professional engineering codes of ethics as established by the Colegio de Ingenieros del Perú, and all safety protocols applicable to industrial operations in Peru Lima.
2. Payment Terms: Payment shall be made in monthly installments via bank transfer to the supplier's account in Peru Lima. Invoices must be submitted by the 5th business day of the following month. Payment shall be processed within 30 calendar days from the date of invoice receipt, in accordance with Peruvian commercial law. Late payments shall accrue interest at the rate established by the Superintendencia de Banca, Seguros y AFP (SBS).
3. Performance and Deliverables: The Mechanical Engineer shall submit monthly progress reports, technical memos, and updated engineering drawings to the Buyer's project management office located in San Isidro, Peru Lima, no later than the last business day of each calendar month. Failure to deliver on time for two consecutive months shall constitute a material breach of this Purchase Order.
4. Confidentiality: All technical data, proprietary designs, operational parameters, and business information disclosed during the execution of this Purchase Order shall be treated as strictly confidential. The Mechanical Engineer and all subcontractors shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Peru Lima.
5. Insurance and Liability: The supplier shall maintain comprehensive professional liability insurance with a minimum coverage of S/ 500,000.00, valid throughout the contract term. The Mechanical Engineer shall be fully liable for any damages, losses, or injuries arising from negligence, design errors, or failure to adhere to Peruvian engineering standards while performing services in Peru Lima.
6. Termination: Either party may terminate this Purchase Order with a written notice of 30 calendar days. In the event of termination for cause, the Mechanical Engineer shall complete all outstanding deliverables and hand over all project documentation within 15 business days. Termination shall not affect any accrued payment obligations.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be submitted to binding arbitration under the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima, Peru Lima. The arbitration award shall be final and enforceable under Peruvian law.
8. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government decrees, or public health emergencies affecting operations in Peru Lima.
9. Validity of Purchase Order: This Purchase Order shall remain valid and in full force from the date of signature until the completion of all services or until formally terminated in writing by both parties, whichever occurs first.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Mechanical Engineer in Peru Lima. This document constitutes a binding commercial agreement under Peruvian law.
