This Purchase Order is issued by Metro Manila Industrial Engineering Corporation (hereinafter referred to as the "Buyer") to Pacific Mechanical Engineering Solutions, Inc. (hereinafter referred to as the "Vendor") for the procurement of professional Mechanical Engineer services. The Vendor shall provide qualified Mechanical Engineer personnel to support the Buyer's ongoing industrial infrastructure development project located in the Philippines Manila metropolitan area. The scope of this Purchase Order encompasses the full-time engagement of a senior Mechanical Engineer for a period of twelve (12) months, commencing on July 1, 2025, and concluding on June 30, 2026, subject to the terms and conditions stated herein.

The Mechanical Engineer engaged under this Purchase Order shall be a licensed Professional Mechanical Engineer (PME) registered with the Professional Regulation Commission (PRC) of the Philippines, holding a valid Certificate of Professional Registration (CPR) and a current Professional Tax Receipt. The Mechanical Engineer shall possess a minimum of ten (10) years of progressive experience in industrial mechanical systems design, HVAC engineering, piping and process engineering, and plant maintenance oversight, with demonstrated project delivery in the Philippines Manila region.

The Mechanical Engineer engaged under this Purchase Order shall perform the following duties and deliverables in support of the Buyer's project in Philippines Manila:

  1. Prepare and finalize all mechanical system designs, including HVAC layouts, process piping isometrics, and equipment installation drawings, in compliance with the Philippine National Building Code (PD 1096) and applicable ASME standards.
  2. Conduct weekly site inspections at the primary project location in the Philippines Manila area and submit written progress reports to the Buyer's Project Director every Friday.
  3. Coordinate with electrical, civil, and structural engineering teams to ensure integrated design compatibility across all disciplines.
  4. Review and approve all mechanical equipment procurement specifications, vendor submittals, and shop drawings prior to fabrication and installation.
  5. Ensure full compliance with the Department of Environment and Natural Resources (DENR) regulations and the local environmental compliance requirements of the City of Manila and the National Capital Region (NCR).
  6. Provide technical guidance and mentorship to junior engineering staff assigned to the Philippines Manila project site.
  7. Prepare and submit all necessary mechanical engineering permits, clearance certificates, and as-built documentation to the relevant local government units in Philippines Manila.
  1. Payment Schedule: Payment shall be made in four (4) equal quarterly installments of PHP 1,064,000.00 each, due within thirty (30) calendar days from the receipt of a valid Official Receipt (OR) issued by the Vendor. All payments shall be made via bank transfer to the Vendor's designated account in the Philippines.
  2. Commencement and Duration: Services shall commence on July 1, 2025, and shall continue for a period of twelve (12) months. This Purchase Order may be extended by mutual written agreement of both parties for an additional period not exceeding six (6) months.
  3. Performance Bond: The Vendor shall submit a Performance Bond in the amount of ten percent (10%) of the total Purchase Order value, issued by a bank licensed in the Philippines, within five (5) business days of the acceptance of this Purchase Order.
  4. Termination: Either party may terminate this Purchase Order with thirty (30) days prior written notice. In the event of termination for convenience, the Buyer shall compensate the Vendor for all services rendered up to the termination date, plus a reasonable demobilization fee not exceeding five percent (5%) of the remaining contract value.
  5. Confidentiality: The Mechanical Engineer and the Vendor shall maintain strict confidentiality over all proprietary information, design documents, and project data belonging to the Buyer. This obligation shall survive the expiration or termination of this Purchase Order for a period of three (3) years.
  6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising hereunder shall be resolved through arbitration in Manila, Philippines, in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
  7. Insurance: The Vendor shall maintain comprehensive general liability insurance and professional indemnity insurance with a minimum coverage of PHP 10,000,000.00 for the duration of this Purchase Order, naming the Buyer as an additional insured party.
  8. Compliance with Local Regulations: All services rendered under this Purchase Order shall comply with the labor laws of the Philippines, including the Labor Code of the Philippines (PD 442), the Tax Code, and all applicable regulations of the Department of Labor and Employment (DOLE) in the Philippines Manila jurisdiction.
NOTE: This Purchase Order is subject to the Buyer's internal approval process. The Mechanical Engineer assigned to this engagement must present a valid PRC license, a current Professional Tax Receipt, and a National ID (PhilSys) for verification at the Buyer's office in Philippines Manila prior to the commencement of services. All work products and deliverables shall be submitted in both hard copy and digital format (PDF and native CAD files) to the Buyer's project management office located in Makati City, Philippines Manila.

This Purchase Order is hereby issued and authorized by the undersigned officers of the Buyer. The Vendor's acceptance of this Purchase Order shall constitute a binding agreement between the parties for the procurement of Mechanical Engineer professional services as described herein.
