The Mechanical Engineer shall be responsible for the design, analysis, prototyping, and quality assurance of precision mechanical assemblies for the client's aerospace component production line. The scope of work encompasses CAD modeling (SolidWorks, CATIA), finite element analysis (FEA), tolerance stack-up calculations, and on-site supervision of CNC machining operations. The Mechanical Engineer must hold a minimum of eight (8) years of relevant industry experience and a recognized engineering degree from an accredited institution within the Russian Federation or an internationally recognized equivalent.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and applicable federal and municipal regulations of the city of Saint Petersburg.
- Commencement: The Mechanical Engineer shall report to the client's facility in Russia Saint Petersburg no later than 1 July 2025. A written confirmation of start date must be provided by the vendor within five (5) business days of this Purchase Order's acceptance.
- Payment Terms: Payment shall be made in monthly installments via bank transfer to the vendor's designated account within fifteen (15) calendar days of receipt of an approved invoice. The first installment is due upon successful completion of the initial two-week onboarding period.
- Performance Standards: The Mechanical Engineer shall adhere to all applicable GOST, TU, and ROSTEST standards. All deliverables must pass internal quality review before acceptance. Failure to meet specifications for two consecutive review cycles shall constitute a material breach of this Purchase Order.
- Confidentiality: The Mechanical Engineer and the vendor shall maintain strict confidentiality regarding all proprietary designs, manufacturing processes, and client data encountered during the engagement in Russia Saint Petersburg. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
- Intellectual Property: All designs, models, analyses, and documentation produced under this Purchase Order shall be the exclusive property of the client. The vendor and the Mechanical Engineer retain no rights to reproduce, distribute, or license such materials without written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the client shall pay for all services rendered up to the effective date of termination, less any applicable penalties for incomplete deliverables.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Saint Petersburg region.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Arbitration Court of the City of Saint Petersburg, Russian Federation.
- Compliance: The vendor warrants that the Mechanical Engineer assigned to this Purchase Order holds all necessary professional certifications, work permits (if applicable), and insurance coverage required to perform engineering services within the jurisdiction of Russia Saint Petersburg.
