This Purchase Order is issued by West Africa Industrial Solutions S.A. to procure the professional services of a qualified Mechanical Engineer to be deployed at the company's manufacturing and assembly facility located in the Zone Industrielle de Dakar, Senegal. The Mechanical Engineer shall be responsible for the design, analysis, installation, commissioning, and ongoing maintenance oversight of all mechanical systems, rotating equipment, piping networks, HVAC infrastructure, and industrial machinery operating within the Senegal Dakar production site.
The Mechanical Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical Engineering (or equivalent) from an accredited institution, possess at least eight (8) years of progressive professional experience in industrial mechanical systems, and demonstrate familiarity with the regulatory and technical standards applicable to industrial operations in Senegal, including compliance with the Senegalese Code du Travail and the technical directives issued by the Direction de l'Industrie et des Mines of the Republic of Senegal.

All prices are quoted in West African CFA Francs (XOF) and are inclusive of all applicable Senegalese local taxes unless otherwise stated. The total amount of this Purchase Order is Forty-Seven Million Seven Hundred Ninety Thousand CFA Francs (47,790,000 XOF).
4.1 This Purchase Order constitutes a binding agreement between West Africa Industrial Solutions S.A. (hereinafter "the Buyer") and ETCWA SARL (hereinafter "the Vendor") for the provision of Mechanical Engineer professional services at the Buyer's facility in Dakar, Senegal.
4.2 The Mechanical Engineer assigned under this Purchase Order must be available for on-site work in Dakar, Senegal, Monday through Friday, 08:00 to 17:00, with availability for emergency call-outs as dictated by operational necessity. The Vendor shall ensure that the Mechanical Engineer holds all necessary work permits and professional registrations valid in the Republic of Senegal.
4.3 Payment terms: Net 45 days from the date of invoice acceptance. Invoices shall be submitted in XOF and must reference this Purchase Order number (WAIS-2025-ME-00347). Payment shall be made via bank transfer to the account specified in Section 1.
4.4 The Vendor warrants that the Mechanical Engineer shall perform all services in a professional, workmanlike manner consistent with industry best practices and the technical regulations of Senegal. Any deficiency in the quality of work shall be rectified at the Vendor's sole cost within fourteen (14) calendar days of written notice from the Buyer.
4.5 This Purchase Order is governed by the laws of the Republic of Senegal. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through the competent commercial courts of Dakar, Senegal.
4.6 The Buyer reserves the right to modify the scope of work described in this Purchase Order by written amendment signed by both parties. No verbal instructions shall constitute a valid modification to this Purchase Order.
4.7 The Vendor shall maintain professional liability insurance with a minimum coverage of 50,000,000 XOF for the duration of this Purchase Order, with the Buyer named as an additional insured party.
