This Purchase Order is issued by Meridian Industrial Solutions Pte. Ltd. to engage the services of a qualified Mechanical Engineer for the design, analysis, and commissioning of industrial process equipment at our manufacturing facility located in Singapore Singapore. The engagement of this Mechanical Engineer is critical to ensuring compliance with the Singapore Standards (SS) and the regulations set forth by the Singapore Department of Standards (Standards, Enterprise and Productivity – SEED) and the Building and Construction Authority (BCA). The Mechanical Engineer shall be responsible for all mechanical design deliverables, thermal system analysis, piping layout, and equipment selection in accordance with the project specifications outlined in Appendix A of this Purchase Order.

The Mechanical Engineer engaged under this Purchase Order shall deliver the following to Meridian Industrial Solutions Pte. Ltd. at the designated project site in Singapore Singapore:

• Complete mechanical design packages including P&IDs, isometric drawings, and equipment data sheets for all process units within scope.
• Thermal and hydraulic calculations for heat exchangers, pumps, and compressors, verified against ASME and Singapore Singapore local code requirements.
• Finite Element Analysis (FEA) reports for all pressure-containing equipment, with certification by a registered Professional Engineer (PE) in Singapore Singapore.
• Site commissioning support including pre-commissioning checklists, loop testing supervision, and final performance verification at the Singapore Singapore plant.
• Full as-built documentation package submitted to the relevant Singapore Singapore authorities within 14 working days of project completion.

1. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
2. The Mechanical Engineer shall maintain valid professional indemnity insurance with a minimum coverage of SGD 2,000,000 per occurrence throughout the duration of this engagement.
3. All work performed under this Purchase Order shall comply with the Workplace Safety and Health Act (WSHA) of Singapore Singapore and all applicable environmental regulations enforced by the National Environment Agency (NEA).
4. Payment shall be made within 30 calendar days from the date of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Late Payment of Interest on Debts Act of Singapore Singapore.
5. The Mechanical Engineer shall not subcontract any portion of the work without prior written consent from Meridian Industrial Solutions Pte. Ltd.
6. All intellectual property and design deliverables produced under this Purchase Order shall vest exclusively in Meridian Industrial Solutions Pte. Ltd. upon full payment.
7. Either party may terminate this Purchase Order with 14 days written notice in the event of material breach. Termination shall not affect any accrued rights or obligations.
8. The Mechanical Engineer shall adhere to all site safety protocols at the Singapore Singapore facility, including mandatory PPE, induction training, and permit-to-work procedures.

Commencement of the Mechanical Engineer's services is scheduled for 1 July 2025 at the Meridian Industrial Solutions Pte. Ltd. facility, 128 Marina Boulevard, Singapore Singapore 018982. The anticipated completion date for all deliverables is 30 September 2025. Any delays attributable to the Mechanical Engineer shall be subject to liquidated damages of SGD 500 per calendar day, capped at 10% of the total Purchase Order value.

This Purchase Order is authorised for release by the undersigned on behalf of Meridian Industrial Solutions Pte. Ltd. The vendor is requested to confirm acceptance of this Purchase Order and the engagement of the Mechanical Engineer by signing and returning a copy within 5 working days of receipt.
