This Purchase Order is issued by Seoul Industrial Development Corporation (hereinafter referred to as the "Buyer") to Hangang Engineering Solutions Co., Ltd. (hereinafter referred to as the "Supplier") for the procurement of professional Mechanical Engineer services. The Mechanical Engineer shall be engaged to provide comprehensive design, analysis, prototyping, and technical consulting services for the Buyer's new manufacturing facility located in the Songpa-gu district of Seoul, South Korea. The scope of work encompasses the full lifecycle of mechanical system design, including but not limited to structural integrity assessments, thermal management systems, fluid dynamics modeling, and automated assembly line configuration.

The Mechanical Engineer assigned to this Purchase Order must hold a valid Professional Engineer (PE) license issued by the Korean Society of Mechanical Engineers (KSME) and possess a minimum of ten (10) years of documented experience in industrial mechanical design within the South Korea Seoul metropolitan area. All deliverables must comply with the Korean Industrial Standards (KS) and applicable regulations enforced by the Ministry of Trade, Industry and Energy of South Korea.

All prices are quoted in Korean Won (KRW) and are inclusive of all applicable local taxes in South Korea Seoul unless otherwise stated. No additional charges shall apply for travel within the Seoul metropolitan area.

Payment for this Purchase Order shall be made in accordance with the following schedule, all transfers to be executed via wire transfer to the Supplier's designated account at IBK in Seoul, South Korea:

• 30% Advance Payment: Due within fifteen (15) business days of the Buyer's written acceptance of this Purchase Order.
• 25% Milestone Payment: Due upon Buyer's written acceptance of Milestone 2 deliverables.
• 25% Milestone Payment: Due upon Buyer's written acceptance of Milestone 3 deliverables.
• 20% Final Payment: Due within thirty (30) days of final acceptance at Milestone 5, subject to a satisfactory punch-list resolution.

All invoices must reference this Purchase Order number (PO-SEOUL-2025-04872) and must be submitted in Korean Won (KRW). Late payments shall incur an interest charge of 1.5% per month as stipulated under the Korean Commercial Act.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, under the rules of the Korean Commercial Arbitration Board (KCAB).
2. Intellectual Property: All designs, drawings, models, and documentation produced by the Mechanical Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Supplier shall not reuse, reproduce, or disclose any proprietary information to third parties without written consent.
3. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and business information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4. Quality Assurance: The Mechanical Engineer shall ensure that all deliverables meet or exceed the specifications outlined in the attached Technical Requirements Document (TRD-2025-089). The Buyer reserves the right to reject any deliverable that does not conform to the agreed-upon standards.
5. Insurance and Liability: The Supplier shall maintain professional liability insurance with a minimum coverage of KRW 500,000,000 for the duration of this Purchase Order. The Supplier shall be liable for any damages arising from negligence or failure to perform the Mechanical Engineer's duties in a professional and workmanlike manner.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in South Korea Seoul.
8. Compliance: The Supplier and the assigned Mechanical Engineer shall comply with all applicable Korean labor laws, occupational safety regulations (KOSHA), and environmental standards in force in Seoul, South Korea at the time of performance.

This Purchase Order becomes effective upon signature by both parties. By signing below, the Buyer authorizes the Supplier to commence the Mechanical Engineer engagement as described herein, and the Supplier acknowledges acceptance of all terms, conditions, and specifications set forth in this Purchase Order for work to be performed in Seoul, South Korea.
