The Mechanical Engineer shall ensure that all on-site work is conducted in full compliance with the Spanish Occupational Risk Prevention Law (Ley 31/1995 de Prevención de Riesgos Laborales) and the applicable safety regulations enforced by the Generalitat de Catalunya in the Barcelona metropolitan area.

• Payment Schedule: 40% advance upon acceptance of this Purchase Order; 40% upon delivery of all design and analysis deliverables (Items 01–03 and 05); 20% upon final acceptance and issuance of the commissioning certificate (Item 06).
• Payment Method: Bank transfer (SEPA) to the IBAN specified in Section 2.
• Payment Terms: Net 30 days from the date of invoice receipt.

1. This Purchase Order is governed by and shall be interpreted in accordance with the Spanish Civil Code (Código Civil) and the applicable provisions of the Spanish Commercial Code (Código de Comercio). Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
2. The Mechanical Engineer warrants that all services rendered under this Purchase Order shall be performed with the professional competence, diligence, and technical standards expected of a registered Mechanical Engineer in Spain, as regulated by the relevant professional college (COEIC) and the Spanish Ministry of Industry, Trade and Tourism.
3. All intellectual property rights in the designs, analyses, reports, and documentation produced under this Purchase Order shall vest exclusively in Catalonia Industrial Solutions S.L. upon full payment of the total amount due.
4. The Mechanical Engineer shall maintain adequate professional indemnity insurance with a minimum coverage of €1,000,000 per claim, valid throughout the duration of the contract and for a period of five (5) years thereafter, in compliance with Spanish insurance regulations.
5. Any modifications to the scope of work defined in this Purchase Order must be agreed in writing by both parties prior to execution. Unauthorised changes shall not be billable.
6. This Purchase Order shall be considered accepted by the vendor upon written confirmation (email or signed copy) within five (5) business days of the date of issue. Failure to confirm within this period shall be deemed a rejection of this Purchase Order.
7. The Mechanical Engineer shall comply with all applicable data protection regulations, including the Spanish Organic Law 3/2018 (LOPDGDD) and the EU General Data Protection Regulation (GDPR), in the handling of any personal data encountered during the execution of services in Barcelona.
