• 30% final payment (EUR 27,648.75): Due within 30 days of the successful handover of the As-Built documentation and the issuance of the final occupancy license by the Ayuntamiento de Madrid.

1. This Purchase Order is governed by the Spanish Civil Code (Código Civil) and the applicable provisions of the Spanish Commercial Code (Código de Comercio). Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
2. The Mechanical Engineer shall maintain valid professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of EUR 1,000,000 per claim, issued by an insurer authorized to operate in Spain, for the entire duration of the contract.
3. All work performed under this Purchase Order shall comply with the current Spanish technical regulations, the Código Técnico de la Edificación (CTE), and the relevant European standards (EN/ISO) as transposed into Spanish law.
4. The Mechanical Engineer shall ensure that all on-site activities in Madrid are conducted in full compliance with the Spanish Occupational Health and Safety regulations (Ley 31/1995 de Prevención de Riesgos Laborales) and the specific safety protocols of the Alcobendas industrial site.
5. Confidentiality: All technical data, drawings, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential. The Mechanical Engineer shall not disclose any project details to third parties without prior written consent from Industrial Solutions Iberia, S.L.
6. Intellectual Property: All designs, calculations, and documentation produced specifically for this project under this Purchase Order shall become the exclusive property of Industrial Solutions Iberia, S.L. upon full payment.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Madrid, or pandemics, provided that the affected party notifies the other within 5 business days.
8. Termination: Either party may terminate this Purchase Order with 30 days’ written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work completed and accepted up to the date of termination.
