4.1 This Purchase Order constitutes a binding agreement between Alpine Precision Engineering AG (hereinafter "the Buyer") and SwissMech Consulting GmbH (hereinafter "the Supplier") for the provision of Mechanical Engineer services as described herein. All terms are governed by the Swiss Code of Obligations (OR) and the civil law of the Canton of Zurich, Switzerland.

4.2 The Mechanical Engineer assigned to this Purchase Order shall hold a minimum of a Master's degree in Mechanical Engineering from an accredited Swiss or internationally recognized institution, and shall possess a valid professional license issued by the relevant authority in Switzerland Zurich. The Supplier warrants that the Mechanical Engineer shall not be engaged in any conflicting obligations during the term of this Purchase Order.

4.3 All work performed under this Purchase Order shall be executed at the Buyer's premises in Switzerland Zurich unless otherwise agreed in writing. The Buyer shall provide the Mechanical Engineer with access to necessary tools, software licenses, laboratory equipment, and safety gear in accordance with Swiss occupational health and safety regulations (ArG/ArGV).

4.4 Payment shall be made via bank transfer to the Supplier's designated account in Switzerland Zurich within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-ZRH-04871). Late payments shall accrue interest at the statutory rate of 5% per annum as defined under Article 104 of the Swiss Code of Obligations.

4.5 Intellectual property rights generated by the Mechanical Engineer in the course of fulfilling this Purchase Order shall vest exclusively in the Buyer upon full payment. The Supplier and the Mechanical Engineer shall execute any additional assignment documents reasonably required by the Buyer.

4.6 Either party may terminate this Purchase Order with a written notice period of fourteen (14) calendar days. In the event of termination, the Buyer shall compensate the Supplier for all services rendered and materials procured up to the effective date of termination.

4.7 All disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Switzerland Zurich. The parties agree to attempt mediation through the Zurich Chamber of Commerce before initiating any formal legal proceedings.

4.8 This Purchase Order is subject to the data protection provisions of the Swiss Federal Act on Data Protection (FADP/Datenschutzgesetz). All personal data processed in connection with this engagement shall be handled in strict compliance with applicable Swiss and EU data protection regulations.

This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. The Supplier shall confirm acceptance by signing below and returning a copy to the Buyer's procurement department in Switzerland Zurich. Failure to respond within the stipulated period shall be interpreted as a rejection of this Purchase Order.
