Terms and Conditions of this Purchase Order

Scope of Work: The Mechanical Engineer and the Bangkok Precision Engineering & Design Co., Ltd. team shall perform all services as described in the line items above. All engineering work shall be conducted in accordance with the Thai Industrial Institute Standards (TIS), the Building Control Act B.E. 2522, and applicable regulations of the Bangkok Metropolitan Administration (BMA).
Delivery Location: All on-site services, inspections, and commissioning activities shall take place at the Thailand Bangkok facility located at 128/44 Sukhumvit Road, Khlong Toei, Bangkok 10110. The Mechanical Engineer shall coordinate with the site supervisor at least 48 hours prior to any on-site visit.
Payment Terms: Payment shall be made within 30 days from the date of invoice receipt. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining balance shall be paid in two equal instalments: 50% upon completion of Phase 1 deliverables and 50% upon final acceptance of all Mechanical Engineer services.
Intellectual Property: All designs, CAD files, technical drawings, and engineering reports produced by the Mechanical Engineer under this Purchase Order shall become the exclusive property of Thailand Bangkok Industrial Solutions Co., Ltd. upon full payment.
Warranty & Liability: The Mechanical Engineer warrants that all engineering calculations, designs, and recommendations shall be free from defects and shall comply with all applicable Thai national standards. The supplier shall be liable for any rework necessitated by design errors.
Confidentiality: The Mechanical Engineer and all associated personnel shall maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of Thailand Bangkok Industrial Solutions Co., Ltd. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Mechanical Engineer shall be compensated for all services rendered up to the date of termination.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes shall be resolved through arbitration in Bangkok under the rules of the Thai Arbitration Institute.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Thailand Bangkok region, government-mandated shutdowns, or pandemics.

NOTE: This Purchase Order is issued specifically for the engagement of qualified Mechanical Engineer services to support the Thailand Bangkok Industrial Solutions Co., Ltd. capital improvement programme for fiscal year 2025. All deliverables must be submitted in both Thai and English. The Mechanical Engineer must hold a valid professional licence issued by the Council of Engineers, Thailand (CET).
