This Purchase Order is issued by Anadolu Industrial Systems A.Ş. to engage the services of a qualified Mechanical Engineer for the design, analysis, and oversight of mechanical systems at our manufacturing facility located in the Istanbul metropolitan area, Turkey. The Mechanical Engineer shall provide full-time on-site and remote technical support in accordance with the specifications outlined below. All work shall be performed in compliance with Turkish industrial regulations, TSE (Turkish Standards Institution) codes, and applicable European mechanical engineering directives as adopted in Turkey.

Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Mechanical Engineer (Vendor) within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
Commencement: All services described herein shall commence no later than 1 July 2025 at the Buyer's designated facility in Istanbul, Turkey. The Mechanical Engineer shall report to the project manager on-site at 08:00 local time on the first day of engagement.
Payment Terms: Payment shall be made in Turkish Lira (TRY) via bank transfer to the account specified by the Vendor. Invoices are due within thirty (30) days of receipt. A 1.5% monthly late-payment penalty shall apply in accordance with Turkish commercial law (Türk Ticaret Kanunu).
Quality and Standards: All engineering deliverables produced by the Mechanical Engineer must conform to TSE standards, ISO 9001 quality management requirements, and any specific technical specifications provided by the Buyer. Non-conforming work shall be rectified at the Vendor's own cost.
Intellectual Property: All designs, calculations, drawings, and reports generated under this Purchase Order shall be the exclusive property of Anadolu Industrial Systems A.Ş. The Mechanical Engineer grants a perpetual, irrevocable license for the Buyer's internal use and reproduction.
Insurance and Liability: The Vendor shall maintain professional indemnity insurance with a minimum coverage of 2,000,000 TRY throughout the duration of this Purchase Order. The Mechanical Engineer shall be liable for any damages arising from negligence, design errors, or failure to meet the agreed specifications.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date, less any penalties for incomplete deliverables.
Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Istanbul, Turkey. The parties agree to attempt mediation before initiating litigation.
Confidentiality: The Mechanical Engineer shall treat all proprietary information, trade secrets, and operational data of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Istanbul region, Turkey.
