2. SCOPE OF WORK – MECHANICAL ENGINEER SERVICES

This Purchase Order is issued by Gulf Infrastructure & Engineering Solutions LLC (hereinafter referred to as the "Buyer") to Apex Mechanical Engineering Consultancy FZ-LLC (hereinafter referred to as the "Supplier") for the engagement of a qualified Mechanical Engineer to provide specialized technical services in support of the Buyer's ongoing infrastructure development project located in the Dubai International Financial Centre (DIFC) district, United Arab Emirates. The Mechanical Engineer shall be responsible for the design review, performance analysis, and technical supervision of all mechanical systems including HVAC installations, piping networks, fire suppression systems, and industrial equipment integration within the project scope.

4. TERMS AND CONDITIONS
  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
  2. Qualifications: The Mechanical Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical Engineering from an accredited institution, possess a valid Professional Engineer (PE) or Chartered Engineer (CE) designation, and hold a valid UAE professional license issued by the Dubai Municipality or the relevant UAE regulatory authority. A minimum of eight (8) years of experience in commercial and industrial mechanical systems within the United Arab Emirates is required.
  3. Compliance: All services rendered under this Purchase Order shall comply with the UAE Building Code, Dubai Municipality regulations, UAE Civil Defence standards, and all applicable federal and emirate-level legislation of the United Arab Emirates. The Mechanical Engineer shall ensure full adherence to local safety and environmental regulations in Dubai.
  4. Payment: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice issued in accordance with UAE Federal Tax Authority requirements. Payment shall be made via bank transfer to the Supplier's designated account in the United Arab Emirates.
  5. Confidentiality: The Supplier and the assigned Mechanical Engineer shall maintain strict confidentiality regarding all project documentation, proprietary data, and technical information disclosed by the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  6. Intellectual Property: All deliverables, reports, drawings, and documentation produced by the Mechanical Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment.
  7. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Supplier shall be compensated for all services rendered up to the date of termination, less any applicable deductions.
  8. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through the Dubai International Financial Centre (DIFC) Courts or, at the Buyer's election, through arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules. The seat of arbitration shall be Dubai, United Arab Emirates.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, including the Federal Civil Transactions Law and all applicable regulations of the Emirate of Dubai.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in the United Arab Emirates.
