The Mechanical Engineer assigned to this Purchase Order must hold a minimum of ten (10) years of post-qualification experience in heavy industrial mechanical systems, be a Chartered Engineer (CEng) registered with the Institution of Mechanical Engineers (IMechE), and possess valid professional indemnity insurance with a minimum cover of £5,000,000. All work shall be conducted on-site in Birmingham, United Kingdom, and the Mechanical Engineer shall comply with all site-specific health, safety, and environmental protocols established by Meridian Industrial Systems Ltd.

1. This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
2. The Mechanical Engineer shall commence all duties no later than 08:00 BST on 1 July 2025 at the Meridian Industrial Systems Ltd. premises in Bickenhill, Birmingham, United Kingdom. Failure to commence within five (5) working days of the stated date without written notice may result in cancellation of this Purchase Order.
3. All deliverables, reports, and design documentation produced by the Mechanical Engineer under this Purchase Order shall be the sole intellectual property of Meridian Industrial Systems Ltd. upon full payment. The Mechanical Engineer shall not reproduce, distribute, or reference such materials in any other capacity without prior written consent.
4. Blackstone Engineering Consultancy Ltd. shall ensure that the Mechanical Engineer assigned to this Purchase Order carries valid professional indemnity insurance and public liability insurance. Certificates of insurance shall be provided to the Buyer prior to commencement of work.
5. Payment shall be made by BACS transfer to the account nominated by Blackstone Engineering Consultancy Ltd. within thirty (30) calendar days of receipt of a valid VAT invoice referencing this Purchase Order number (PO-2025-BHM-00472).
6. The Mechanical Engineer shall adhere to all site safety regulations, including but not limited to the Provision and Use of Work Equipment Regulations 1998 (PUWER), the Management of Health and Safety at Work Regulations 1999, and any local Birmingham City Council environmental bylaws applicable to the site.
7. Any variation to the scope of work outlined in this Purchase Order must be agreed in writing by both parties prior to execution. Variations exceeding 10% of the total Purchase Order value require a formal amendment to this document.
8. Blackstone Engineering Consultancy Ltd. warrants that the Mechanical Engineer shall perform all services with reasonable skill and care, in accordance with the standards expected of a competent Chartered Mechanical Engineer practising in the United Kingdom.
9. This Purchase Order shall be deemed accepted by Blackstone Engineering Consultancy Ltd. upon written confirmation (email or signed copy) returned to Meridian Industrial Systems Ltd. within five (5) working days of the date of issue.
