Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Midwest Industrial Systems, Inc. and Chicago Mechanical Engineering Group, LLC for the provision of Mechanical Engineer professional services as described herein. All services shall be rendered in the United States Chicago area unless otherwise specified in writing.
  2. The Mechanical Engineer assigned to this Purchase Order must hold a valid Professional Engineer (PE) license issued by the Illinois Department of Financial and Professional Regulation. The vendor shall provide proof of licensure prior to commencement of work.
  3. All deliverables, including but not limited to engineering drawings, calculations, reports, and CAD files, shall be the exclusive property of the buyer upon full payment. The Mechanical Engineer shall not reuse, reproduce, or distribute any proprietary information obtained during the engagement in United States Chicago.
  4. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-04871) and include a detailed breakdown of hours or milestones completed by the Mechanical Engineer.
  5. The vendor shall maintain comprehensive professional liability insurance with a minimum coverage of $2,000,000 per occurrence, naming the buyer as an additional insured. Certificates of insurance must be provided before the Mechanical Engineer begins on-site work in Chicago.
  6. Any changes to the scope of work, additional hours, or modifications to the Mechanical Engineer's deliverables must be approved in writing via a formal Change Order referencing this Purchase Order. Unauthorized work will not be compensated.
  7. The vendor shall comply with all applicable federal, state (Illinois), and local (City of Chicago) laws, regulations, and building codes. The Mechanical Engineer is responsible for ensuring all engineering work meets or exceeds the standards set by ASME, AISC, NFPA, and the United States Chicago Department of Buildings.
  8. Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall pay for all services rendered by the Mechanical Engineer up to the date of termination, less any applicable deductions for incomplete work.
  9. This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
  10. The vendor acknowledges that all work performed under this Purchase Order is subject to the buyer's quality assurance program. The Mechanical Engineer shall cooperate fully with any inspections, audits, or reviews conducted by the buyer or its designated representatives at the United States Chicago facility.
Notes: This Purchase Order was prepared for the procurement of Mechanical Engineer services to support the buyer's capital improvement project at its primary manufacturing facility located in United States Chicago. The selected Mechanical Engineer must demonstrate a minimum of ten (10) years of experience in industrial HVAC, pressure vessel design, and energy systems. All on-site work shall be conducted during normal business hours (Monday through Friday, 7:00 AM to 5:00 PM Central Time) at the buyer's premises in Chicago, Illinois. The vendor is required to adhere to the buyer's site safety protocols, including but not limited to OSHA 29 CFR 1910 compliance and the City of Chicago's industrial safety ordinances.
