- Scope of Work: This Purchase Order authorizes Apex Engineering Consultants, Inc. to provide the professional services of a qualified Mechanical Engineer as described in the line items above. All engineering services shall be performed in accordance with applicable federal, Texas state, and Houston municipal regulations governing mechanical engineering practice in the United States.
- Licensing and Qualifications: The Mechanical Engineer assigned to this Purchase Order must hold an active Professional Engineer (P.E.) license issued by the Texas Board of Professional Engineers, Land Surveyors, and Geoscientists. A copy of the license shall be provided to Meridian Industrial Solutions prior to commencement of work in Houston, United States.
- Payment Terms: Net 30 days from receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-2025-HOU-04872) and shall be submitted to Accounts Payable at Meridian Industrial Solutions, LLC, Houston, Texas. Payment shall be made via ACH transfer to the vendor's designated bank account in the United States.
- Performance Period: Services shall commence on or before June 20, 2025, and shall be completed no later than July 15, 2025, unless a written extension is mutually agreed upon by both parties. All on-site work shall take place at the Meridian facility in Houston, United States, during standard business hours (Monday through Friday, 7:00 AM to 5:00 PM Central Time).
- Intellectual Property: All designs, calculations, drawings, reports, and documentation produced by the Mechanical Engineer under this Purchase Order shall become the sole property of Meridian Industrial Solutions, LLC upon full payment. The vendor shall not reuse, reproduce, or disclose such materials without prior written consent.
- Insurance: The vendor shall maintain, at its own expense, professional liability (errors and omissions) insurance with a minimum coverage of $2,000,000 per occurrence, general liability insurance of $1,000,000, and workers' compensation insurance as required by the State of Texas. Certificates of insurance naming Meridian Industrial Solutions as additional insured shall be provided prior to the start of work in Houston, United States.
- Compliance: All work performed under this Purchase Order shall comply with the International Mechanical Code (IMC), ASME Boiler and Pressure Vessel Code, NFPA standards, OSHA regulations, and all applicable codes and ordinances of the City of Houston, Texas, United States.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the vendor shall be compensated for all services rendered and documented through the date of termination, subject to the terms herein.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Harris County, Houston, Texas.
- Confidentiality: The vendor acknowledges that it may have access to proprietary information, trade secrets, and confidential business data of Meridian Industrial Solutions. All such information shall be held in strict confidence and shall not be disclosed to any third party without express written authorization.
