Scope & Professional Requirements
This Purchase Order authorizes the engagement of qualified Mechanical Engineer professionals by Meridian Mechanical Engineering Group, LLC to perform comprehensive mechanical design, analysis, and commissioning services for Pacific Coast Industrial Systems, Inc. All work shall be executed in Los Angeles, California, United States, and shall conform to the applicable provisions of the California Business and Professions Code, the Los Angeles Municipal Code, and the National Board of Examiners for Engineers and Surveyors (NBES) licensing requirements. The lead Mechanical Engineer assigned to this Purchase Order must hold a valid California Professional Engineer (PE) license and possess a minimum of ten (10) years of experience in commercial HVAC and mechanical systems design. All deliverables produced under this Purchase Order shall be stamped and sealed by the responsible Mechanical Engineer in accordance with California law.
Terms and Conditions
- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Supplier. The Supplier shall return a signed copy of this Purchase Order within five (5) business days of receipt.
- Performance Period: All Mechanical Engineer services shall commence no later than July 1, 2025, and shall be completed by September 30, 2025, unless otherwise extended in writing by mutual agreement of both parties.
- Quality Standards: All engineering work performed by the Mechanical Engineer team shall adhere to ASME, ASHRAE, NFPA, and applicable Los Angeles, United States municipal codes. Deliverables shall be reviewed and approved by the Purchasing Party's project manager before final acceptance.
- Intellectual Property: All drawings, calculations, models, and reports generated under this Purchase Order shall become the sole property of Pacific Coast Industrial Systems, Inc. upon full payment. The Mechanical Engineer and the Supplier retain no rights to reproduce or distribute the work without written consent.
- Insurance: The Supplier shall maintain professional liability insurance of no less than $2,000,000 per occurrence and general liability insurance of $1,000,000, with Pacific Coast Industrial Systems, Inc. named as an additional insured. Certificates of insurance shall be provided prior to commencement of work in Los Angeles.
- Payment: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of invoice receipt. Late payments shall accrue interest at 1.5% per month. All payments shall be made via ACH transfer to the account designated by the Supplier.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Purchasing Party shall pay for all Mechanical Engineer services rendered and approved up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
- Compliance: The Supplier and all Mechanical Engineer personnel shall comply with all federal, state, and local laws applicable in Los Angeles, United States, including but not limited to OSHA regulations, California labor laws, and the Americans with Disabilities Act.
- Confidentiality: All project information, client data, and proprietary specifications shared under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written authorization.
