This Purchase Order constitutes a binding agreement between Apex Industrial Solutions, LLC ("Buyer") and Meridian Mechanical Engineering Group, Inc. ("Vendor") for the provision of Mechanical Engineer professional services as described herein. All work shall be performed in and around the United States Miami area unless otherwise specified in writing.
The Vendor shall assign a licensed Professional Mechanical Engineer (P.E.) registered with the Florida Board of Professional Engineers as the primary point of contact and technical authority for all deliverables under this Purchase Order. The assigned Mechanical Engineer must hold a valid Florida P.E. license and a minimum of ten (10) years of relevant industrial experience.
All engineering deliverables, including but not limited to CAD files, calculation reports, stamped drawings, and compliance certifications, shall be the exclusive property of the Buyer upon full payment. The Vendor shall not reuse, reproduce, or disclose any proprietary information obtained during the engagement in United States Miami without prior written consent.
Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-MIA-04782) and include a detailed breakdown of hours or milestones completed by the Mechanical Engineer team.
The Vendor is responsible for obtaining all necessary permits, insurance (minimum $2,000,000 general liability and $1,000,000 professional liability), and regulatory approvals required to perform Mechanical Engineer services within the jurisdiction of Miami-Dade County, United States Miami, Florida.
Any changes to the scope of work, timeline, or deliverables must be documented through a formal Change Order signed by both parties. No additional work shall be performed by the Mechanical Engineer team without prior written authorization under this Purchase Order.
The Vendor shall comply with all applicable federal, state, and local regulations governing engineering practice in the State of Florida, including but not limited to the Florida Statutes Chapter 455 and the Florida Building Code. All work performed in United States Miami must adhere to the latest ASME, NFPA, and OSHA standards.
In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be submitted to binding arbitration in United States Miami, Florida, in accordance with the rules of the American Arbitration Association.
This Purchase Order shall remain in effect from the date of issue until all services have been completed, all deliverables accepted, and all payments settled in full. Either party may terminate this agreement with thirty (30) days written notice, subject to payment for services rendered up to the termination date.
The Vendor warrants that all Mechanical Engineer services provided under this Purchase Order shall be performed in a professional, workmanlike manner consistent with the standards of practice prevailing in the United States Miami engineering community and shall be free from defects in design, analysis, and documentation.
