- This Purchase Order constitutes a binding agreement between Meridian Industrial Solutions, Inc. (hereinafter "Buyer") and Precision Engineering & Design Group LLC (hereinafter "Vendor") for the provision of Mechanical Engineer professional services as described herein.
- All engineering services shall be performed by or under the direct supervision of a licensed Mechanical Engineer holding an active Professional Engineer (PE) license issued by the State of New York. The Mechanical Engineer shall be responsible for the accuracy, completeness, and code compliance of all deliverables.
- All work shall be performed in accordance with applicable United States New York City building codes, the International Mechanical Code (IMC), ASME standards, and all relevant federal and municipal regulations governing mechanical engineering practice in the State of New York.
- The Vendor shall provide a Certificate of Insurance evidencing General Liability coverage of not less than $2,000,000 per occurrence and Professional Liability (Errors & Omissions) coverage of not less than $5,000,000, naming Meridian Industrial Solutions, Inc. as an additional insured. Certificates must be delivered prior to commencement of work in United States New York City.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State Commercial Law.
- All deliverables, including but not limited to CAD files, engineering calculations, stamped drawings, and written reports, shall be the sole property of the Buyer upon full payment. The Vendor shall not reuse, reproduce, or disclose any proprietary information obtained during the performance of this Purchase Order.
- The Vendor shall comply with all applicable United States New York City labor laws, including but not limited to prevailing wage requirements, OSHA safety regulations, and the New York City Fair Chance Act. The Mechanical Engineer and all supporting personnel shall adhere to the Buyer's site safety protocols.
- Any change in scope, additional hours, or modification to the original Mechanical Engineer service requirements must be authorized in writing via a formal Change Order signed by both parties before work proceeds. Unauthorized work shall not be compensated under this Purchase Order.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, United States New York City.
- The Vendor warrants that all Mechanical Engineer services shall be performed in a professional, workmanlike manner consistent with the generally accepted standards of the mechanical engineering profession in the United States.
