This Purchase Order is issued by Industrial Solutions de Venezuela, C.A. to formally request and authorize the engagement of a qualified Mechanical Engineer to provide comprehensive technical consulting, design oversight, and operational support services at our manufacturing and processing facility in Venezuela Caracas. The Mechanical Engineer shall be responsible for ensuring that all mechanical systems, equipment, and infrastructure within the facility comply with international engineering standards, Venezuelan regulatory requirements, and the specific operational parameters defined by our engineering department.
The scope of work for the Mechanical Engineer includes, but is not limited to: the design review and validation of hydraulic and pneumatic systems; the development of maintenance schedules for rotating equipment including turbines, compressors, and centrifugal pumps; the preparation of technical documentation and as-built drawings; the supervision of installation and commissioning activities; the conduct of failure analysis and root cause investigations; and the provision of on-site technical guidance to local maintenance teams operating in Venezuela Caracas.

- Acceptance: This Purchase Order becomes binding upon written acceptance by the vendor. The vendor must confirm acceptance of all terms, including the scope of work for the Mechanical Engineer, within five (5) business days of receipt of this document.
- Service Location: All professional services rendered under this Purchase Order shall take place at the client's premises in Venezuela Caracas. The vendor is responsible for ensuring that the Mechanical Engineer holds valid work authorization and any necessary permits to perform professional engineering services within the Republic of Venezuela.
- Qualifications: The Mechanical Engineer assigned to this Purchase Order must hold a minimum of ten (10) years of progressive experience in industrial mechanical engineering, a valid professional engineering license, and demonstrated familiarity with Venezuelan industrial safety regulations (INSAI standards) and ISO 9001 quality management systems.
- Payment: Payment shall be made within thirty (30) calendar days from the date of invoice receipt, provided that all deliverables specified in this Purchase Order have been accepted in writing by the client's project manager in Venezuela Caracas. Payment shall be processed via international wire transfer to the vendor's designated bank account.

- Warranty of Services: The vendor warrants that all engineering services, designs, calculations, and recommendations provided by the Mechanical Engineer shall be performed in a professional, workmanlike manner consistent with industry standards. Any errors or omissions discovered within twelve (12) months of service completion shall be corrected at no additional cost to the client.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the client shall pay for all services rendered and expenses incurred up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Venezuela. Any disputes arising hereunder shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Venezuelan Chamber of Commerce.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, political instability, or public health emergencies affecting operations in Venezuela Caracas.
