1. Scope & Compliance: The Mechanical Engineer and all supporting personnel engaged under this Purchase Order shall comply with all applicable laws, regulations, and professional standards in Zimbabwe Harare. The lead Mechanical Engineer must hold a valid practising certificate issued by the Engineering Institution of Zimbabwe (EIZ) and a minimum of ten (10) years of post-qualification experience in mechanical systems design.
2. Payment Schedule: Payment shall be made in monthly instalments corresponding to the service period. Invoices shall be submitted by the 5th of each month for the preceding month's services. Payment is due within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via electronic funds transfer to the supplier's designated bank account in Harare, Zimbabwe.
3. Performance & Deliverables: The Mechanical Engineer shall submit a detailed project plan within fourteen (14) days of the commencement date. Monthly progress reports shall be delivered to the HIDC Procurement Department in Harare. Failure to meet agreed milestones without written justification may result in a penalty of 2% of the monthly fee per day of delay, capped at 15%.
4. Intellectual Property: All design documents, calculations, schematics, and reports produced under this Purchase Order shall become the exclusive property of Harare Industrial Development Corporation upon full payment. The Mechanical Engineer retains the right to reference the project in professional portfolios with prior written consent.
5. Insurance & Liability: The supplier shall maintain comprehensive professional indemnity insurance of not less than USD 500,000 and public liability insurance of not less than USD 250,000 for the duration of the contract. Certificates of insurance shall be provided to HIDC Harare prior to commencement.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Mechanical Engineer shall deliver all work-in-progress documentation and hand over all materials to HIDC.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Harare, Zimbabwe. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act of Zimbabwe, with the seat of arbitration in Harare.
8. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, commercial terms, and operational information exchanged in connection with this Purchase Order. This obligation survives termination for a period of five (5) years.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of Mechanical Engineer services in Zimbabwe Harare and shall be governed by the laws of the Republic of Zimbabwe.
