1. Scope of Work: The Mechatronics Engineer shall report directly to the Plant Manager at the Argentina Córdoba facility and shall adhere to all internal safety protocols, quality management standards (ISO 9001:2015), and operational procedures established by Andes Industrial Solutions S.A.
2. Payment Terms: Payment shall be made in monthly installments via electronic bank transfer (transferencia bancaria) within fifteen (15) business days from the receipt of a valid invoice (factura A) issued by the vendor. The first payment shall be due upon successful commencement of services on August 1, 2025.
3. Performance Bond: The vendor shall provide a performance bond equivalent to ten percent (10%) of the total Purchase Order value, to be released upon satisfactory completion of the engagement period.
4. Compliance: All services rendered by the Mechatronics Engineer shall comply with Argentine national regulations, including but not limited to the Ley de Seguridad e Higiene (Law 19,587), electrical safety standards (IRAM), and the applicable norms of the Córdoba Provincial Industrial Development Agency.
5. Intellectual Property: All designs, schematics, control programs, and technical documentation produced by the Mechatronics Engineer during the term of this Purchase Order shall be the exclusive property of Andes Industrial Solutions S.A.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the vendor shall be compensated for all services rendered up to the termination date.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, with jurisdiction vested in the commercial courts of the city of Córdoba, Province of Córdoba, Argentina.
8. Confidentiality: The Mechatronics Engineer and all supporting personnel shall maintain strict confidentiality regarding proprietary processes, trade secrets, and operational data of the Argentina Córdoba facility for a period of three (3) years following the conclusion of this engagement.
