This Purchase Order is issued by Apex Industrial Systems Pty Ltd for the engagement of a qualified Mechatronics Engineer to provide comprehensive design, integration, testing, and commissioning services for an automated manufacturing line located at our facility in Australia Melbourne. The Mechatronics Engineer shall be responsible for the end-to-end delivery of electromechanical systems, programmable logic controller (PLC) programming, industrial robotics integration, sensor networks, and human-machine interface (HMI) development as specified in the attached Scope of Work (Appendix A).

The Mechatronics Engineer must hold a minimum of a Bachelor of Engineering (Mechatronics) or equivalent qualification accredited by Engineers Australia, possess a valid Australian Professional Engineer (CPEng) or Engineering Competent Practitioner (ECP) registration, and demonstrate a minimum of eight (8) years of progressive experience in industrial automation projects within the Australia Melbourne metropolitan region or equivalent Australian jurisdictions.

All on-site services, including commissioning, calibration, and performance testing, shall be conducted at the Apex Industrial Systems facility located at 2200 Dandenong Road, Springvale, Victoria 3171, Australia Melbourne. The Mechatronics Engineer is expected to be physically present at this location during the commissioning phase. All remote advisory and support services shall be coordinated from the supplier's registered office in Australia Melbourne or via secure remote-access channels approved by the issuing company.

  1. This Purchase Order is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Melbourne.
  2. The Mechatronics Engineer shall comply with all applicable Australian Standards, including AS/NZS 3000 (Wiring and Protective Devices), AS/NZS 3008 (Electrical Installations), and AS 4024 (Safety of Machinery), as well as all relevant Safe Work Australia regulations.
  3. The supplier warrants that the Mechatronics Engineer engaged under this Purchase Order shall not be in breach of any existing contractual obligation to a third party and shall maintain all necessary professional indemnity insurance (minimum AUD 10,000,000) and public liability insurance (minimum AUD 20,000,000) for the duration of the engagement.
  4. Intellectual property developed specifically for Apex Industrial Systems under this Purchase Order shall vest in the issuing company upon full payment. The Mechatronics Engineer retains ownership of pre-existing methodologies and general engineering knowledge.
  5. Payment shall be made via electronic funds transfer (EFT) to the supplier's nominated Australian bank account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.
  6. The supplier shall provide a written progress report to the issuing company every two (2) weeks during the active project phase. The Mechatronics Engineer shall attend a monthly stakeholder review meeting in Australia Melbourne or via video conference.
  7. Either party may terminate this Purchase Order with fourteen (14) days' written notice in the event of a material breach that remains uncured after a further seven (7) days' written notice.
  8. All personal information collected in connection with this Purchase Order shall be handled in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

This Purchase Order becomes binding upon written acceptance by the supplier. The supplier's acceptance constitutes agreement to all terms, conditions, specifications, and pricing set forth in this document. The supplier shall return a signed copy of this Purchase Order to the issuing company within five (5) business days of receipt.
