- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. All disputes arising from this Purchase Order relating to the engagement of the Mechatronics Engineer shall be resolved in the courts of Australia Sydney or through arbitration under the rules of the Australian Dispute Resolution Centre.
- Scope of Work: The Mechatronics Engineer and associated engineering team shall perform all duties in strict compliance with the project specifications outlined in Appendix A (attached separately). The Mechatronics Engineer is responsible for ensuring all mechanical, electrical, and software components meet the performance benchmarks agreed upon for the Australia Sydney facility.
- Compliance & Certification: The Mechatronics Engineer shall hold valid professional registration with Engineers Australia (CPEng or NER status) and shall maintain all necessary insurance coverage, including professional indemnity insurance of no less than AUD $10,000,000 and public liability insurance of no less than AUD $20,000,000, as required for operations in Australia Sydney.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment for the Mechatronics Engineer services shall be made within 30 days of receipt of a valid tax invoice. All payments shall be made in Australian Dollars (AUD) via electronic funds transfer to the supplier's nominated bank account in Australia Sydney.
- Intellectual Property: All designs, code, documentation, and technical knowledge developed by the Mechatronics Engineer specifically for this Purchase Order shall become the sole property of Austral Pacific Industrial Systems Pty Ltd upon full payment. The Mechatronics Engineer retains the right to use general methodologies and pre-existing IP not specific to this engagement.
- Health, Safety & Environment: The Mechatronics Engineer shall comply with all occupational health and safety legislation applicable in New South Wales, Australia, including the Work Health and Safety Act 2011 (NSW). The Mechatronics Engineer must complete the buyer's site-specific safety induction prior to commencing work at the Australia Sydney location.
- Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Mechatronics Engineer shall be compensated for all services rendered up to the termination date, and all work-in-progress documentation shall be handed over to the buyer.
- Confidentiality: The Mechatronics Engineer and all associated personnel shall maintain strict confidentiality regarding proprietary information, trade secrets, and operational data of the buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting Australia Sydney, government-imposed restrictions, or pandemics, provided that the affected party notifies the other within 48 hours.
- Warranty: The Mechatronics Engineer warrants that all services shall be performed in a professional and workmanlike manner, in accordance with industry best practices in Australia. A defect liability period of twelve (12) months shall apply from the date of final commissioning at the Australia Sydney site.
