3. Scope of Purchase Order

This Purchase Order is issued by Dhaka Industrial Automation Ltd. to procure the professional services of a qualified Mechatronics Engineer for the duration of the Bangladesh Dhaka Smart Manufacturing Facility Upgrade Project (Phase 2). The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of automated production lines, robotic assembly systems, and embedded control units at the buyer's manufacturing plant located in Bangladesh Dhaka. The scope encompasses all technical deliverables, on-site supervision, documentation, and knowledge transfer activities as specified in the attached Statement of Work (SOW-Ref: BD-DHK-ME-SOW-011).

6. Payment Terms
  • Payment shall be made in BDT via bank transfer to the supplier's designated account in Bangladesh Dhaka.
  • 30% advance payment upon acceptance of this Purchase Order.
  • 40% upon completion of Milestone 2 (verified by buyer's project manager).
  • 30% upon final acceptance of all deliverables at the Bangladesh Dhaka facility.
  • Payment terms: Net 30 days from invoice date. Late payments shall incur interest at 1.5% per month.
7. Terms and Conditions
  • This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes shall be resolved through arbitration in Bangladesh Dhaka under the Bangladesh Arbitration Act, 2001.
  • The Mechatronics Engineer assigned to this Purchase Order must hold a minimum of a B.Sc. in Mechatronics Engineering or equivalent, with at least 5 years of relevant industrial experience in Bangladesh Dhaka or internationally.
  • The supplier warrants that all work performed by the Mechatronics Engineer shall comply with Bangladesh National Standards (BDS) and applicable international standards (ISO 10218, IEC 61508).
  • The buyer reserves the right to inspect and audit all work performed at the Bangladesh Dhaka site at any reasonable time during the contract period.
  • Confidentiality: All proprietary information, design files, and operational data related to this Purchase Order shall remain the exclusive property of the buyer. The Mechatronics Engineer and supplier personnel shall sign non-disclosure agreements prior to commencing work in Bangladesh Dhaka.
  • Force Majeure: Neither party shall be liable for delays caused by natural disasters, government regulations, or events beyond reasonable control, provided written notice is given within 72 hours.
  • This Purchase Order becomes effective upon written acceptance by both parties and remains valid until all obligations are fulfilled or the validity period expires, whichever comes first.
  • Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
