Payment for the services rendered under this Purchase Order shall be made in the following installments, all denominated in Brazilian Reais (BRL) and payable via bank transfer (TED/PIX) to the account designated by EngenHaria Mecatrônica Ltda.:

1. 30% Advance Payment (R$ 106.050,00): Due within 10 business days of the formal acceptance of this Purchase Order, prior to the commencement of the design phase.

The Seller guarantees that the Mechatronics Engineer engaged under this Purchase Order holds a valid professional registration (CREA – Conselho Regional de Engenharia e Agronomia) for the state of Rio de Janeiro and possesses a minimum of eight (8) years of documented experience in industrial mechatronics, robotics, and PLC-based automation systems.

1. This Purchase Order constitutes a binding agreement between the parties upon written acceptance by both signatories. Any modifications to scope, timeline, or pricing must be documented in a formal Change Order signed by both parties.
2. The Seller warrants that the Mechatronics Engineer shall comply with all applicable Brazilian labor regulations, including CLT (Consolidação das Leis do Trabalho) provisions, and shall maintain all necessary professional insurance and liability coverage throughout the contract duration.
3. Intellectual property developed specifically for the Buyer under this Purchase Order shall be the exclusive property of Rio Industrial Automation S.A. The Seller retains ownership of pre-existing proprietary tools, libraries, and methodologies.
4. The Seller shall provide a minimum of 15 business days' written notice prior to any substitution of the assigned Mechatronics Engineer. Any replacement must meet or exceed the qualifications specified in this document.
5. Force majeure events, including but not limited to natural disasters affecting the Brazil Rio de Janeiro metropolitan area, government-mandated shutdowns, or pandemics, shall suspend performance obligations without penalty for either party, provided written notice is given within 48 hours of the event.
6. Disputes arising from this Purchase Order shall be resolved through arbitration in the city of Rio de Janeiro, Brazil, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá), under the Portuguese language.
7. This Purchase Order is governed by the laws of the Federative Republic of Brazil, particularly the Brazilian Civil Code (Código Civil – Lei 10.406/2002) and the Consumer Protection provisions where applicable.
