- This Purchase Order constitutes a binding agreement between Indústria Avançada de Automação S.A. (Buyer) and Engenharia Mecatrônica Integrada Ltda. (Vendor) for the procurement of mechatronic engineering services and associated equipment to be executed at the Buyer's industrial facility located in Brazil São Paulo.
- The Vendor shall assign a qualified Mechatronics Engineer with a minimum of eight (8) years of professional experience in industrial automation, robotics, and control systems. The Mechatronics Engineer must hold a recognized engineering degree (Bacharelado em Engenharia Mecatrônica or equivalent) and be registered with the Conselho Federal de Engenharia e Agronomia (CREA-SP).
- All work described in this Purchase Order shall be performed at the Buyer's plant in Brazil São Paulo, Rod. Anhanguera, Km 28. The Vendor is responsible for transporting all equipment and personnel to the site within the agreed delivery window.
- Payment shall be made via bank transfer (TED/PIX) to the Vendor's account in BRL within thirty (30) calendar days from the date of invoice issuance, subject to acceptance of deliverables by the Buyer's Quality Assurance team.
- The Mechatronics Engineer shall provide weekly progress reports to the Buyer's Project Manager. Any deviation from the approved schedule exceeding five (5) business days must be reported in writing within 48 hours.
- All equipment supplied under this Purchase Order carries a minimum warranty of twenty-four (24) months from the date of final acceptance, covering defects in materials and workmanship. The Mechatronics Engineer shall be available for warranty support at the Brazil São Paulo site within 48 hours of a service request.
- The Vendor shall comply with all applicable Brazilian labor laws, occupational safety regulations (NR-10, NR-12), and environmental standards in force in the state of São Paulo. The Mechatronics Engineer and all support personnel must wear appropriate PPE at all times while on the Buyer's premises.
- Intellectual property developed specifically for the Buyer under this Purchase Order, including custom PLC programs, SCADA configurations, and mechanical designs, shall be the exclusive property of the Buyer upon full payment.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this agreement shall be resolved by the competent courts of the city of São Paulo, state of São Paulo, Brazil.
- Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or supply chain disruptions affecting the Brazil São Paulo region, shall extend the delivery timeline proportionally, provided written notice is given within five (5) business days.
